Common use of OWNERSHIP OR USE Clause in Contracts

OWNERSHIP OR USE. (a) Lucent represents, warrants and covenants that it is either the owner of, or authorized to distribute, sublicense and use, the Deliverables provided by Lucent pursuant to this Agreement. (b) Lucent represents, warrants and covenants that WinStar shall receive marketable title to all Products and Developed Deliverables provided pursuant to this Agreement and shall be entitled to the rights of possession and quiet enjoyment thereto, free of any liens or encumbrances, except as provided in the Credit Agreement.
