P R E M I S E S. Seller is the licensee of and operates radio stations WDOL(FM), Englewood, Ohio and WLQT(FM), Kettering-Dayton, Ohio (each a "Station", and together, the "Stations") pursuant to licenses issued by the Federal Communications Commission (the "FCC").
P R E M I S E S. Sellers are in the business of providing direct marketing and other advertising services, including without limitation, strategic planning, media services, database marketing, telemarketing and online marketing, to businesses engaged in a variety of industries (the “Business”).

P R E M I S E S. Seller is the licensee of and operates radio stations KBAY(FM) and KKSJ(AM), San Jose, California, (each a "Station", and together, the "Stations") pursuant to licenses issued by the Federal Communications Commission (the "FCC").
P R E M I S E S. Seller is the licensee of and operates radio stations WXEG(FM), Beavercreek, Ohio (the "Station") pursuant to licenses issued by the Federal Communications Commission (the "FCC").
P R E M I S E S. This Agreement contemplates a transaction in which Buyer will purchase (a) certain front-end loader assets and businesses in the Houston area specified below, (b) the rearload assets and the rearload business in the Channelview area specified below, (c) certain garage and office facilities, including the real property and improvements thereto, as specified below and (d) the Sunray Type IV landfill specified below, in each case through various asset sales or the acquisition of all of the capital stock of Hauling, and in addition S&J Landfill and Brazoria Recycling will grant to Buyer the right to dispose, over a ten-year period, up to a total of 2,000,000 tons of municipal solid waste at the Baytown and Angleton Type I landfills specified below. Now, therefore, in consideration of the mutual promises and covenants herein contained and other good and valuable consideration, received to the full satisfaction of each of them, the parties hereby agree as follows:
