Parameters of Use. 15.1 Buyer shall not copy, modify, reverse assemble, deconstruct, or reverse engineer any Product, without the advance written consent of VARISCITE. VARISCITE may withhold this consent, in VARISCITE’s sole and absolute discretion. 15.2 Reproduction of VARISCITE software without the express written consent of VARISCITE is allowed solely for the purposes of Buyer’s internal use or for backup.

Participant may not sell, lease, furnish or otherwise permit or provide access to or receipt or use of the Service or Information and Data to any third parties unless it is authorized to do so in writing by NASD. Participant will not engage in the operation of any illegal business; access or knowingly or negligently permit anyone else to access the Service or the Information and Data, or any part thereof, for any illegal purpose; receive or permit anyone else to receive the Service or the Information and Data, or any part thereof, for any illegal purpose; use or permit anyone else to use the Service or the Information and Data, or any part thereof, for any illegal purpose; or violate any NASD Rule. Except for any NASD Confidential Information (as defined in Section 15.1 below), Participant may on a non-continuous basis, furnish limited amounts of Information and Data obtained through the Service to customers; in written advertisements, correspondence, or other literature; or during voice telephonic conversations not entailing computerized voice, automated information inquiry services, or similar technologies. It is understood and agreed by USING PARTY that the District shall be entitled to preempt use by USING PARTY and to use its own facilities (identified in the Schedule Detail and Rules for Facilities Usage) for school functions notwithstanding any provision in this Agreement or this Agreement itself.

The Plan for New Content will require the Division, in providing equally effective alternate access, to take any actions that do not result in a fundamental alteration or undue financial and administrative burdens, but nevertheless ensure that, to the maximum extent possible, individuals with disabilities receive the same benefits or services as their nondisabled peers.
