Common use of Parent Closing Deliverables Clause in Contracts

Parent Closing Deliverables. At the Closing, Parent shall deliver to the Company and the Securityholders’ Agent: (i) the Escrow Agreement, duly executed by Parent and the Escrow Agent; (ii) the Joinder Agreements, duly executed by Parent; and (iii) the Lock-Up Agreements, duly executed by Parent.

Parent Closing Deliverables. At the Closing, Parent shall deliver to the Company and the Securityholders’ AgentCompany: (i) the Escrow Agreement, duly executed by Parent and the Escrow Agent; (ii) the Joinder Agreements, duly executed by Parent; and; (iii) the Revesting Agreements, duly executed by Parent; (iv) the Restrictive Covenant Agreements, duly executed by Parent; (v) the Lock-Up Agreements, duly executed by Parent; and (vi) the Payment Agent Agreement, duly executed by Parent and the Payment Agent.
