Common use of Parent Material Adverse Effect Clause in Contracts

Parent Material Adverse Effect. No Parent Material Adverse Effect shall have occurred or exist following the execution and delivery of this Agreement (whether or not events or circumstances occurring prior to the execution and delivery of this Agreement caused or contributed to the occurrence of such Parent Material Adverse Effect).

Parent Material Adverse Effect. No Parent Material Adverse Effect There shall have occurred or exist following not occurred, since the execution and delivery of this Agreement (whether Agreement, any event, change, circumstance, condition or not events occurrence nor shall there exist any event, change, circumstance, condition or circumstances occurring prior occurrence that, individually or in the aggregate, have resulted in, or could reasonably be expected to the execution and delivery of this Agreement caused or contributed to the occurrence of such result in, a Parent Material Adverse Effect).
