Common use of Pari Passu to Non-EIB Financing Clause in Contracts

Pari Passu to Non-EIB Financing. If: (a) a Voluntary Non EIB Prepayment has occurred; or (b) (i) a Voluntary Non EIB Prepayment is likely to occur and (ii) the Bank has requested a consultation with the Borrower in respect of such Voluntary Non EIB Prepayment and at least 30 (thirty) days have passed since the date of such request, the Bank may, by notice to the Borrower, cancel the undisbursed portion of the Credit and demand prepayment of the Loan. The proportion of the Loan that the Bank may require to be prepaid shall be the same as the proportion that the prepaid amount of the Non-EIB Financing bears to the aggregate outstanding amount of all Non-EIB Financing.
