Common use of Partial Invalidation Clause in Contracts

Partial Invalidation. In the event that any provision of this Agreement shall be held by law, or found by a court or other tribunal of competent jurisdiction to be unenforceable, the unenforceable provision shall be severed and the remaining provisions of this Agreement shall remain in full force and effect. In such an event, the Parties agree to negotiate in good faith a substitute provision that most nearly reflects the intent of the severed provision.
