Common use of Partial Termination Clause in Contracts

Partial Termination. If the Supplier notifies the Authority pursuant to Clause 34.3(b) (Termination by the Supplier) that it intends to terminate this Agreement in part and the Authority, acting reasonably, believes that the effect of such Partial Termination is to render the remaining Services incapable of meeting a significant part of the Authority Requirements, then the Authority shall be entitled to terminate the remaining part of this Agreement by serving a Termination Notice to the Supplier within 1 month of receiving the Supplier’s Termination Notice. For the purpose of this Clause 34.4, in assessing the significance of any part of the Authority Requirements, regard shall be had not only to the proportion of that part to the Authority Requirements as a whole, but also to the importance of the relevant part to the Authority.

Partial Termination. If the Supplier notifies the Authority pursuant to Clause 34.3(bI1.3(b) (Termination by the Supplier) that it intends to terminate this Agreement in part and the Authority, acting reasonably, believes that the effect of such Partial Termination is to render the remaining Services incapable of meeting a significant part of the Authority Requirements, then the Authority shall be entitled to terminate the remaining part of this Agreement by serving a Termination Notice to the Supplier within 1 one (1) month of receiving the Supplier’s Termination Notice. For the purpose of this Clause 34.4I1.4, in assessing the significance of any part of the Authority Requirements, regard shall be had not only to the proportion of that part to the Authority Requirements as a whole, but also to the importance of the relevant part to the Authority.

For the purpose of this Clause 34.433.7, in assessing the significance of any part of the Authority Requirements, regard shall be had not only to the proportion of that part to the Authority Requirements as a whole, but also to the importance of the relevant part to the Authority.

If the Supplier notifies the Authority pursuant to Clause 34.3(b31.3(b) (Termination by the Supplier) that it intends to terminate this Agreement Contract in part and the Authority, acting reasonably, believes that the effect of such Partial Termination is to render the remaining Services incapable of meeting a significant part of the Authority Requirements, then the Authority shall be entitled to terminate the remaining part of this Agreement Contract by serving a Termination Notice to the Supplier within 1 month of receiving the Supplier’s Termination Notice. For the purpose of this Clause 34.431.4, in assessing the significance of any part of the Authority Requirements, regard shall be had not only to the proportion of that part to the Authority Requirements as a whole, but also to the importance of the relevant part to the Authority.

Partial Termination. If the Supplier notifies the Authority Buyer pursuant to Clause 34.3(b33.3(b) (Termination by the Supplier) that it intends to terminate this Agreement Contract in part and the AuthorityBuyer, acting reasonably, believes that the effect of such Partial Termination is to render the remaining Services incapable of meeting a significant part of the Authority Buyer Requirements, then the Authority Buyer shall be entitled to terminate the remaining part of this Agreement Contract by serving a Termination Notice to the Supplier within 1 month of receiving the Supplier’s Termination Notice. For the purpose of this Clause 34.433.4, in assessing the significance of any part of the Authority Buyer Requirements, regard shall be had not only to the proportion of that part to the Authority Buyer Requirements as a whole, but also to the importance of the relevant part to the AuthorityBuyer.

If the Supplier notifies the Authority pursuant to Clause 34.3(b) 30.3.2 (Termination by the Supplier) that it intends to terminate this Agreement in part and the Authority, acting reasonably, believes that the effect of such Partial Termination is to render the remaining Services incapable of meeting a significant part of the Authority Requirements, then the Authority shall be entitled to terminate the remaining part of this Agreement by serving a Termination Notice to the Supplier within 1 month of receiving the Supplier’s 's Termination Notice. For the purpose of this Clause 34.430.4, in assessing the significance of any part of the Authority Requirements, regard shall be had not only to the proportion of that part to the Authority Requirements as a whole, but also to the importance of the relevant part to the Authority.
