Participation in the Programme. 3.1 Notwithstanding the terms of the Contracts, the parties agree to vary, for the duration of the term of this Agreement, those terms of the Contracts which relate to payments (and the timing of payments) as follows: 3.1.1 the Supplier acknowledges and agrees that in consideration of the Client paying an Invoiced Debt owed to the Supplier under or in connection with a Contract prior to the date by which such payment would otherwise be required to be made under the terms of that Contract, the Client shall be entitled to deduct and retain from that Invoiced Debt, for its own benefit, such percentage of that Invoiced Debt (the “Rebate”) that is calculated in accordance with Schedule 2. 3.1.2 for the avoidance of doubt, nothing in this Agreement shall: 3.1.2.1 affect the date by which payment of an Invoiced Debt is required to be made by the Client; or 3.1.2.2 require the Client to make early payment to the Supplier in respect of any Invoiced Debt; and 3.1.3 the Contracts will continue in full force and effect as amended by this Agreement. 3.1.4 Rebates will be applied across all contracts unless otherwise agreed. NHS Wales Shared Services Partnership are prepared to offer a blended rate across contracts should multiple rebates be offered. This rate will be based on the weighted average of rebates offered based on forecasted annual spend. 3.1.5 where there is any conflict or inconsistency between the provisions of this Agreement and the Contracts, the provisions of this Agreement shall take precedence. 3.2 On termination of this Agreement: 3.2.1 to the extent that any provisions of a Contract have been varied by the operation of clause 3.1, such provisions shall be deemed to be further varied so as to revert to the language existing immediately prior to the operation of this Agreement; and 3.2.2 in respect of any Invoiced Debts that remain unpaid as at the date of termination of this Agreement, the terms of this Agreement shall survive termination in respect of such Invoiced Debts until payment has been effected. 3.3 This Agreement does not release any party to it from any breaches of a Contract existing at the date of this Agreement, or in the future, or affect any existing rights that have accrued under a Contract prior to the date of this Agreement. 3.4 This Agreement shall continue to apply to all Invoiced Debts that remain unpaid up to and including the date of expiry or termination of this Agreement (including where a Contract has terminated or expired)...

Participation in the Programme. 18.1 We are an earn-partner of the programme, which allows the business to link the business control account to the programme and earn eBucks on qualifying purchase transactions on the card/s. 18.2 These terms and conditions must be read together with the terms and conditions published on the ▇▇▇▇▇▇.▇▇▇ web site, ▇▇▇.▇▇▇▇▇▇.▇▇▇.   • Program Participation By participating in the CRF Program, Grantee agrees to: a. Not increase any Eligible Household’s rent through January 2021; b. Waive all costs, fees and charges incurred by Eligible Households as a result of non- payment or partial payment of rent during the impacted months; c. Not consider non-payment or partial payment by Eligible Households during impacted months when considering renewal of an Eligible Household’s lease, or, share this information with other rental properties, credit bureaus and tenant screening companies; d. Not initiate new Eligible Household evictions for non-payment of rent and must suspend all pending evictions of Eligible Households for nonpayment of rent for the duration of the rental payment assistance; e. Not issue a notice to vacate to Eligible Households for nonpayment of rent until the end of the Eviction Relief Period; and f. Not require Eligible Households to vacate the unit until 30 days after such notice.

  • COOPERATIVE PURCHASING PROGRAM PARTICIPATION Arkansas' Purchasing Law provides that local public procurement units (counties, municipalities, school districts, certain nonprofit corporations, etc.) may participate in state purchasing contracts. The contractor therefore agrees to sell to Cooperative Purchasing Program participants at the option of the program participants. Unless otherwise stated, all standard and special terms and conditions listed within the contract must be equally applied to such participants.

  • PARTICIPATION IN SIMILAR ACTIVITIES This agreement in no way restricts the U.S. Forest Service or from participating in similar activities with other public or private agencies, organizations, and individuals.

  • No Participation in Management Except as expressly permitted hereunder, the Limited Partners shall not take part in the management of the Partnership’s business, transact any business in the Partnership’s name or have the power to sign documents for or otherwise bind the Partnership.

  • Participation in Plans Notwithstanding any other provision of this Agreement, the Executive shall have the right to participate in any and all of the plans or programs made available by the Company (or it subsidiaries, divisions or affiliates) to, or for the benefit of, executives (including the annual stock option and restricted stock grant programs) or employees in general, on a basis consistent with other senior executives.
