Party C. 3.3.1 Party C undertakes that the equity interest pledged under this Agreement is free of defect and he has complete and undisputable ownership of the equity interest. 3.3.2 Party C undertakes that his equity interest in Party A is not subject to seizure, inspection or has any other circumstances that may adversely impact the registration process of the equity pledge. 3.3.3 Party C undertakes that there is nothing existing on the equity interest pledged that may impact the realization of the equity pledge. 3.3.4 Party C undertakes that he shall notify Party B and seek Party B’s permission in advance in the case that the equity interest may be diluted.

Party C. Party C represents and warrants that, as of the date of signing hereof it has obtained, and will maintain the validity of, all permits from the relevant governmental authorities necessary for the lawful operation of its business and its performance of this Agreement.

Party C. Shanghai Xiao-i Robot Technology Company Limited, a company limited by shares, established and existing under the laws of the PRC, with its address at F7, ▇▇. ▇▇▇, ▇▇▇▇ ▇▇▇▇, ▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇▇ ▇▇▇▇, ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇. In this Agreement, each of the Pledgee, the Pledgor and Party C shall be referred to as a “Party” respectively, and they shall be collectively referred to as the “Parties”.

Party C. A. During the appointment, Party C is subject to the same conditions as the faculty in terms of research work, political learning and daily management, and Party C shall observe relevant rules and regulations set forth by Party A. B. Agreed upon by the three Parties, the research conducted by Party C at the Station which shall be published with Party C as the first author (or corresponding author) and Party A as the primary affiliation mainly addresses: C. Party C shall complete at least one project under a province or national ministry funded postdoctoral research program (or of higher level) and one project supported by China Postdoctoral Science Foundation, which is a condition to be met for Party C to obtain approval to leave the Station. D. During the appointment at the Station, Party C shall go through research proposal, annual appraisal and final assessment within the given time frame in accordance with the document Implementation Measures for Postdoctoral Researcher Management at Soochow University (Trial) (Su Jiao Ren, No.9 [2010]). E. Provided that Party C meets the requirements of Jiangsu Planned Projects for Postdoctoral Research Funds, the Party shall apply for the program. F. Provided that the research is progressing smoothly and is possible to get ahead of schedule, the Fellowship can terminate in advance of the termination date under approval from Part A. Any unapproved resignation will automatically be deemed as early withdrawal from the Station.

Party B and Party C are hereinafter collectively referred to as the “Transferors”. The Transferors and the Transferee are hereinafter collectively referred to as “All Parties” as well as each of the Transferors and the Transferee is hereinafter referred to as “Party”.
