Payment and Delivery of Option Units. Payment for the Option Units shall be made on the Option Closing Date by wire transfer of immediately funds, by deposit of the sum of $9.40 per Option Unit in the Trust Account pursuant to the Trust Agreement upon delivery to the Representatives of certificates (in form and substance satisfactory to the Underwriters) representing the Option Units (or through the facilities of the Depository Trust Company (“DTC”)) for the account of the Underwriters (with $0.40 of the $0.60 underwriting discount per Option Unit being deposited into the Trust Account pursuant to Section 1.4 hereof). The certificates representing the Option Units to be delivered will be in such denominations and registered in such names as the Representatives request not less than two (2) Business Days prior to the Closing Date or the Option Closing Date, as the case may be, and will be made available to the Representatives for inspection, checking and packaging in the City of New York not later than 10:00 a.m., Eastern time, one full Business Day prior to such Option Closing Date. , 2006
