Common use of Payment by Agents Clause in Contracts

Payment by Agents. Subject as provided in Clause 4.5, each of the Issuing and Paying Agent, and, in the case of the final payment in respect of any Series of ETP Securities, the Registrar and the Transfer Agent (or the Issuing and Paying Agent on behalf of the Registrar or Transfer Agent) shall, subject to and in accordance with the Conditions, pay or cause to be paid on behalf of the Issuer on and after each due date therefor the amounts due in respect of the ETP Securities and shall be entitled to claim any amounts so paid from the Issuing and Paying Agent, provided that no Agent shall be required to make payment until such time as it has received funds and has been able to identify or confirm receipt of funds.
