Common use of Payment by Agents Clause in Contracts

Payment by Agents. Unless they receive a notification from the Issuing and Paying Agent under Clause 4.4 (Notification of Non-payment) and subject as provided in Clause 4.6 (Suspension of Payment by Agents), each of the Paying Agents, in the case of Bearer Notes, each of the Registrar and the Transfer Agents, in the case of the final payment in respect of any Series of Registered Notes, and the Registrar, in the case of all other payments in respect of Registered Notes, shall, subject to and in accordance with the Conditions, pay or cause to be paid on behalf of the Issuer on and after each due date therefor all amounts due in respect of the Notes and Coupons and shall be entitled to claim any amounts so paid from the Issuing and Paying Agent.
