Common use of Payment by Agents Clause in Contracts

Payment by Agents. Subject as provided in Clause 4.7 (Suspension of Payment by Agents), each of the Paying Agents shall, subject to and in accordance with the Conditions, pay or cause to be paid on behalf of the Issuer and in event of failure by the Issuer on and after each due date for the amounts due in respect of the Instruments and Coupons and shall be entitled to claim any amounts so paid from the Issuing and Paying Agent.

Payment by Agents. Subject as provided in Clause 4.7 (Suspension of Payment by Agents)4.6, each of the Paying Agents shall, subject to and in accordance with the Conditions, pay or cause to be paid on behalf of the Issuer and in event of failure by the Issuer on and after each due date for therefor the amounts due in respect of the Instruments Notes and Coupons and shall be entitled to claim any amounts so paid from the Issuing and Paying Agent.

Subject as provided in Clause 4.7 (Suspension of Payment by Agents)4.6, each of the Paying Agents shall, subject to and in accordance with the Conditions, pay or cause to be paid on behalf of the Relevant Issuer and (in event the case of failure Notes issued by TotalEnergies Capital or TotalEnergies Capital International) the Issuer Guarantor on and after each due date for therefor the amounts due in respect of the Instruments Notes, Receipts and Coupons and shall be entitled to claim any amounts so paid from the Issuing and Paying Fiscal Agent.
