Common use of Payment Card Industry Data Security Standards Clause in Contracts

Payment Card Industry Data Security Standards. The Company and its Subsidiaries have designed and implemented an information security program that is designed to protect accountholder data in accordance with the Payment Card Industry Data Security Standards (“PCI/DSS Requirements”). At all times during the term of this Agreement, the Company and its Subsidiaries shall be in compliance with the PCI/DSS Requirements as required herein. Any certificate signed by any officer of the Company and delivered to the Representative or to counsel for the Representative in connection with the transactions contemplated hereby shall be deemed a representation and warranty by the Company to each of the several Underwriters as to the matters covered thereby. The Company acknowledges that the Underwriters and, for purposes of the opinions to be delivered pursuant to Section 6 hereof, counsel to the Company and counsel to the Representative, will rely upon the accuracy and truthfulness of the foregoing representations and hereby consents to such reliance.
