Payment Records. The Contractor must maintain adequate records as prescribed by the State to substantiate all claims for payment and must make those records available in New York State for examination and copying. Contractor shall notify the State of any pending litigation, regulatory action or commencement of legal or regulatory actions which may have a material adverse impact on the ability of Contractor to perform Services under this Agreement. Such notification shall be in writing, and directed to the Director of Procurement. Neither the Contractor nor any of its officers, directors, employees, affiliates, agents or subcontractors shall, at any time, during or after termination of this Agreement, make any statement to the press or issue any material for publication through any media of communication bearing on the Services performed or data collected under this Agreement without the prior written approval of the State. If pursuant to this section, the Contractor publishes a work related to any aspect of performance under this Agreement, or the results and accomplishments attained in such performance, the State shall have, in addition to any rights and remedies it may have under this Agreement, a perpetual, royalty-free, non-exclusive and irrevocable license to reproduce, publish or otherwise use and to authorize others to use the publication. Neither party grants the other the right to use any of its trademarks, trade names, logos, seals, or other designations, whether in any promotion, publication, or otherwise, without the other party's prior written consent.
