Payments Not to Be Set Off Against Taxes or Vice Versa Sample Clauses
The "Payments Not to Be Set Off Against Taxes or Vice Versa" clause establishes that payments due under the contract and tax obligations are to be treated independently and cannot be offset against each other. In practice, this means that a party cannot reduce the amount it owes under the contract by claiming a tax credit or deduction, nor can it withhold tax payments on the basis of amounts owed by the other party. This clause ensures clear separation of contractual payment obligations from tax liabilities, preventing disputes and confusion over payment calculations and ensuring that each party fulfills its respective financial responsibilities as agreed.
