Common use of Payments of Fees and Expenses Clause in Contracts

Payments of Fees and Expenses. The Administrative Agent shall have received evidence of payment by the Company of all accrued and unpaid fees, costs and expenses to the extent then due and payable hereunder on the Funding Date, together with Attorney Costs of Bank of America to the extent invoiced prior to the Funding Date, plus such additional amounts of Attorney Costs as shall constitute Bank of America's reasonable estimate of Attorney Costs incurred or to be incurred by it through the Funding Date proceedings (provided that such estimate shall not thereafter preclude final settling of accounts between the Company and Bank of America, which shall be made based upon actual Attorney Costs, including any such, fees, costs and expenses arising under or referenced in Sections 2.11 and 10.4.
