Common use of Payments to Be Free and Clear Clause in Contracts

Payments to Be Free and Clear. All sums payable by the Borrower under this Agreement shall be paid free and clear of and (except to the extent required by law) without any deduction or withholding, whether for or on account of Tax, by way of set-off or otherwise.

Payments to Be Free and Clear. All sums payable by or on behalf of Borrower hereunder and under the Borrower under this Agreement other Financing Documents shall be paid free and clear of of, and (without any deduction or withholding on account of, any Tax, except to the extent required by law) without any deduction or withholding, whether for or on account of Tax, by way of set-off or otherwise.

Payments to Be Free and Clear. All sums payable by the Borrower Company under this Agreement and the other Loan Documents shall be paid free and clear of and (except to the extent required by law) without any deduction or withholding, whether for or withholding on account of Taxany Tax (other than a Tax on the overall net income of any Lender or tax in lieu thereof) imposed, levied, collected, withheld or assessed by way of set-off any governmental authority, domestic or otherwiseforeign.

Payments to Be Free and Clear. All sums payable by the Borrower under this Agreement Note shall be paid free and clear of and (except to the extent required by law) be paid free and clear of, and without any deduction or withholding, whether for or withholding on account of Taxof, any tax imposed, levied, collected, withheld or assessed by way of set-off or otherwisewithin any governmental authority.

Payments to Be Free and Clear. All sums payable by the Borrower under this Agreement shall be paid (1) free of any restriction or condition, (2) free and clear of and (except to the extent required by law) without any deduction or withholding, whether withholding for or on account of Taxany tax and (3) without deduction or withholding (except to the extent required by law) on account of any other amount, whether by way of set-off or otherwise.

Payments to Be Free and Clear. All sums payable by the Borrower under this Agreement and the other Transaction Documents to each Lender and each Transaction Agent shall be paid free and clear of and (except to the extent required by law) be paid free and clear of, and without any deduction or withholding, whether for or withholding on account of Taxof, any Tax imposed, levied, collected, withheld or assessed by way of set-off or otherwisewithin any jurisdiction or by or within any political subdivision or taxing authority thereof or therein with respect to such payments.

All sums payable by the Borrower under this Agreement and the other Loan Documents shall be paid free and clear of and (except to the extent required by law) without any deduction or withholding, whether for or withholding on account of Taxany Tax (other than a Tax on the overall net income of any Lender) imposed, levied, collected, withheld or assessed by way of set-off any jurisdiction or otherwiseby any political subdivision or taxing authority thereof or therein with respect to such payments.

All sums payable by the Borrower under this Agreement shall be paid in full without set-off or counterclaim or any restriction or condition and free and clear of and (except to the extent required by law) without any deduction tax or withholding, whether for other deductions or on account withholdings of Tax, by way of set-off or otherwiseany nature.

All sums payable by the Borrower under this Agreement shall be paid (a) free of any restriction or condition, (b) free and clear of and (except to the extent required by law) without any deduction or withholding, whether for or withholding on account of Taxany tax and (c) without deduction or withholding (except to the extent required by law) on account of any other amount, whether by way of set-off or otherwise.

Payments to Be Free and Clear. All sums payable by the Borrower under this Agreement and the other Loan Documents shall be paid free and clear of and (except to the extent required by law) without any deduction or withholding, whether for or withholding on account of Taxany Tax (excluding, except as provided in subsection 27B(ii)(e), any Tax on the overall net income of any Lender) imposed, levied, collected, withheld or assessed by way of set-off any jurisdiction or otherwiseby any political subdivision or taxing authority thereof or therein with respect to such payments.

Payments to Be Free and Clear. All sums payable by the Borrower under this Agreement and all sums payable by a Chargor (other than the Borrower) pursuant to its Guarantee, shall be paid free and clear of and (except to the extent required by lawany Requirement of Law) free and clear of and without any deduction or withholding, whether for or withholding on account of Tax, by way of set-off or otherwiseany Tax (a “Tax Deduction”).

Payments to Be Free and Clear. All sums payable by the Borrower under this Agreement shall be paid in full without set-off or counterclaim or any restriction or condition and free and clear of and (except to the extent required by law) without any deduction tax or withholding, whether for other deductions or on account withholdings of Tax, by way of set-off or otherwiseany nature.

Payments to Be Free and Clear. All Any and all sums payable by the Borrower under this the Agreement shall be paid in full, without set-off or counterclaim or any restriction or condition, and free and clear of and (except to the extent required by law) without any Tax, levy, impost, charges or other deduction or withholding, whether for or on account withholding of Tax, by way of set-off or otherwiseany nature.

Payments to Be Free and Clear. All sums payable by the Borrower of any amount due under this Agreement shall be paid (i) free and clear of any restriction or condition of any nature now or hereafter imposed by any government authority whatsoever, (ii) free and clear of and (except to the extent required by lawthe applicable laws) without any deduction or withholding, whether for or withholding on account of Taxany tax and (iii) without any deduction or withholding (except to the extent required by the applicable laws) on account for any other amount, whether by way of set-off or otherwise.

Payments to Be Free and Clear. All sums payable by the Borrower under this Agreement and the other Loan Documents shall be paid free and clear of and (except to the extent required by law) without any deduction or withholding, whether for or withholding on account of Taxany Tax (excluding, except as provided in subsection 2.7B(ii)(e), any Tax on the overall net income of any Lender) imposed, levied, collected, withheld or assessed by way of set-off any jurisdiction or otherwiseby any political subdivision or taxing authority thereof or therein with respect to such payments.

All sums payable by the Borrower under this Agreement shall be paid (i) free and clear of and (except to the extent required by any applicable law) without any deduction or deduction, withholding, whether restriction or condition for or on account of Taxany tax and (ii) without deduction or withholding (except to the extent required by any applicable law) on account of any other amount, whether by way of set-set off or otherwise.

Payments to Be Free and Clear. All sums payable by the Borrower under this Agreement shall be paid free of any restriction or condition and free and clear of and (except to the extent required by law) without any deduction or withholding, whether for or on account of Taxtax, by way of set-off or otherwise.

Payments to Be Free and Clear. All sums amounts payable by the each Borrower under this Agreement agreement shall be paid paid: (a) free and clear of any restriction or condition; (b) free and clear of and (except to the extent required by law) without any deduction or withholding, whether for or withholding on account of Taxany tax; and (c) without any deduction or withholding on account of any other amount, whether by way of set-off off, counterclaim or otherwise.
