Common use of Payments to the Purchaser Clause in Contracts

Payments to the Purchaser. (a) Any payments required to be made by a Seller to the Purchaser pursuant to this Agreement shall, unless this Agreement otherwise provides, be made available on each date upon which this Agreement requires an amount to be paid in immediately available funds by electronic funds transfer to the account of the Purchaser in the currency of the relevant payment at such bank as the Purchaser shall from time to time notify the relevant Collection Agent for this purpose. (b) Each Seller shall not be entitled to set off its own claims against the Purchaser’s claims and to exercise any retention rights (Zuückbehaltungsrechte) or counterclaims unless and only to the extent such claims of such Seller have become finally awarded by a court (rechtskräftig festgestellt) or are undisputed.
