Common use of Pending Action Clause in Contracts

Pending Action. No action, suit or proceeding is threatened or pending, and no injunction, order, decree or ruling is in effect, seeking to restrain or prohibit, or to obtain damages or other relief in connection with, the execution and delivery of this Agreement, the Closing Documents or the consummation of the transactions contemplated herein or therein.
