Per-User Sample Clauses

The Per-User clause defines how certain terms, conditions, or charges apply individually to each user under an agreement. In practice, this means that fees, access rights, or usage limits are calculated or enforced separately for every user account or individual covered by the contract. This approach ensures that obligations and entitlements are tailored to the actual number of users, providing fairness and scalability while preventing ambiguity about how terms apply across multiple users.
Per-User. The total number of Authorized Users that use the Software may not exceed the licensed quantity of Authorized Users.
Per-User. If the Software is licensed on a per user basis, then Purchaser must pay a license fee for each individual who has access to the administrative features of the Software (each a “seat”). A seat may not be used by more than one individual. A seat may be transferred from one individual user to another provided that the transfer is intended to be a permanent transfer and not a means of sharing a single seat. Purchaser must require each individual to establish a unique log in name and password. If user seats are licensed on a subscription basis for annual periods and Purchaser wishes to add seats during an annual period, Purchaser may purchase additional user seats for a pro-rated annual fee based on the number of partial or full months remaining in the then-current annual period, provided that Purchaser commits to purchasing a full annual subscription for the additional seats on the renewal of the annual period.
Per-User. For Software licensed on a per User basis, each license may be installed on one computer and used solely by an individual User within Licensee’s organization. For purposes of clarity, a single User license may not be used by more than one individual. Notwithstanding the foregoing, a copy of the Software installed on a single common machine may be shared for internal use by employees and Contractors of Licensee’s business only, provided that a license has been purchased for each individual User.
