Common use of Percentage of Performance Shares Earned Clause in Contracts

Percentage of Performance Shares Earned. Except as provided herein, the Participant shall earn 100% of the Performance Shares if the Company’s Total Shareholder Return (“TSR”) (as such term is defined in the PSIP) is in the 50th percentile compared to the TSR of the Company’s Peer Group (as provided in Exhibit 1 of the PSIP) over the Performance Period. If the Company’s TSR over the Performance Period is negative, the performance multiplier will be limited to 100% of the target award.
