Common use of Perfection of Security Interests in the Collateral Clause in Contracts

Perfection of Security Interests in the Collateral. The Collateral Documents create valid security interests in, and Liens on, the Collateral purported to be covered thereby, which security interests and Liens will be, upon filing of UCC-1 statements, filing of intellectual property notices and the delivery of any instruments and stock certificates as required hereunder, perfected security interests and Liens, prior to all other Liens other than Permitted Liens.

Perfection of Security Interests in the Collateral. The Collateral Documents create create, on the Closing Date, in favor of the Secured Parties, valid security interests in, and Liens on, the Collateral purported to be covered thereby, which security interests and Liens will be, upon filing of UCC-1 statements, filing of intellectual property notices and the delivery of any instruments and stock certificates as required hereunder, are perfected security interests and LiensLiens (other than such Collateral in which a security interest cannot be perfected under the UCC as in effect at the relevant time in the relevant jurisdiction), prior to all other Liens Liens, other than Permitted Liens.

The Collateral Documents will create valid security interests in, and Liens on, the Collateral purported to be covered therebythereby upon the filing or recording of the applicable instruments in the appropriate jurisdiction as required by applicable law, which security interests and Liens with respect to the UCC Collateral will be, upon filing of UCC-1 statements, filing of intellectual property notices and the delivery of any instruments and stock certificates as required hereunder, be perfected security interests and Liens, prior to all other Liens other than Permitted Liens, upon the filing of the applicable financing statements in the appropriate jurisdictions).
