Performance by Seller and Stockholder. Each of the agreements of the Seller and the Stockholder to be performed at or prior to the Closing Date pursuant to the terms hereof shall have been duly performed in all material respects, and the Seller and the Stockholder shall have performed, in all material respects, all of the acts required to be performed by them at or prior to the Closing Date by the terms hereof.
