Common use of Performance by the Purchasers Clause in Contracts

Performance by the Purchasers. Each Purchaser shall have performed, satisfied and complied in all material respects with all covenants, agreements and conditions required by this Agreement to be performed, satisfied or complied with by such Purchaser at or prior to the Closing, including having paid by wire transfer of funds into escrow in accordance with this Agreement and the Escrow Agreement the Purchase Price set forth opposite such Purchaser's name on Exhibit A under the heading "Purchase Prices"; such Purchaser shall have executed and delivered this Agreement, the Registration Rights Agreement and the Escrow Agreement to the Escrow Agent on behalf of the Company. The Escrow Agent shall have performed, satisfied and complied in all material respects with all covenants, agreements and conditions required by this Agreement and the Escrow Agreement to be performed, satisfied or complied with by the Escrow Agent at or prior to the Closing, including delivery of all of the Purchaser's Closing Documents to the Company.

Performance by the Purchasers. Each Purchaser shall have performed, satisfied and complied in all material respects with all covenants, agreements and conditions required by this Agreement to be performed, satisfied or complied with by such Purchaser at or prior to the Closing, including having paid by wire transfer of funds funds, by the delivery of promissory notes for cancellation and/or the delivery of the obligations of the Company for retirement into escrow in accordance with this Agreement and the Escrow Agreement the Purchase Price set forth opposite such Purchaser's name on Exhibit A under the heading "Purchase PricesPrice"; such each Purchaser shall have executed and delivered this Agreement, the Registration Rights Agreement and the Escrow Agreement to the Escrow Agent on behalf of the Company. The Escrow Agent shall have performed, satisfied and complied in all material respects with all covenants, agreements and conditions required by this Agreement and the Escrow Agreement to be performed, satisfied or complied with by the Escrow Agent at or prior to the Closing, including delivery of all of the Purchaser's Closing Documents to the Company.
