Performance Limitation Clause Samples

A Performance Limitation clause sets boundaries on the obligations or capabilities of a party regarding the level or scope of performance under a contract. Typically, this clause specifies maximum or minimum thresholds for deliverables, services, or response times, and may outline circumstances under which performance may be excused or reduced, such as force majeure events or resource constraints. Its core function is to manage expectations and allocate risk by clearly defining the extent of each party’s responsibilities, thereby preventing disputes over unmet or unrealistic performance standards.
