Performance of and Compliance with Other Covenants. The Company will perform and comply with each of the covenants set forth in the Indenture dated as of November 1, 2005 between the Authority and the Trustee, together with the definitions of all of the terms defined in such Indenture and used in or otherwise applicable therein, being hereby incorporated in this Participation Agreement by reference as if such provisions and definitions were set forth in full herein.

Performance of and Compliance with Other Covenants. Borrower will perform and comply, in all material respects, with each of the covenants that are set forth in this Agreement and in the Related Documents, as such covenants may be amended or supplemented in the future and will promptly pay the Reimbursement Obligations and any other Indebtedness when and as due.

Performance of and Compliance with Other Covenants. Borrower (i) shall perform and comply with each of the covenants and agreements that are set forth in this Agreement and in the Loan Documents that are binding on Borrower, as such covenants are in effect on the Effective Date and as such covenants may thereafter be amended or supplemented with the written approval of the Bank, which approval may be withheld or conditioned in the Bank’s reasonable discretion and (ii) shall promptly pay the Obligations when and as due. Borrower shall cause each of its Subsidiaries to perform and comply with each of its covenants and agreements that are set forth in this Agreement and other Loan Documents that are binding on such Subsidiary, as such covenants are in effect on the Effective Date and as such covenants may thereafter be amended or supplemented with the written approval of the Bank, which approval may be withheld or conditioned in the Bank’s reasonable discretion.

  • Performance of Agreements and Covenants Each and all of the agreements and covenants of Buyer to be performed and complied with pursuant to this Agreement and the other agreements contemplated hereby prior to the Effective Time shall have been duly performed and complied with in all material respects.

  • Compliance with Agreements and Covenants Purchaser shall have performed and complied in all material respects with all of its covenants, obligations and agreements contained in this Agreement to be performed and complied with by it on or prior to the Closing Date.

  • Performance and Compliance with Collateral The Borrower will, at the Borrower’s expense, timely and fully perform and comply (or, by exercising its rights thereunder, cause the Seller to perform and comply pursuant to the Sale Agreement) with all provisions, covenants and other promises required to be observed by it under the Collateral, the Transaction Documents and all other agreements related to such Collateral.

  • Compliance with Other Laws Secured Party may comply with any applicable state or federal law requirements in connection with a disposition of the Collateral and compliance will not be considered to adversely affect the commercial reasonableness of any sale of the Collateral.

  • Compliance with Other Agreements Employee represents and warrants that the execution of this Agreement by him and his performance of his obligations hereunder will not conflict with, result in the breach of any provision of or the termination of or constitute a default under any agreement to which Employee is a party or by which Employee is or may be bound.
