Common use of Performance of Obligations of the Purchaser Clause in Contracts

Performance of Obligations of the Purchaser. The Purchaser shall have performed or complied in all material respects with all obligations, covenants and agreements required by this Agreement to be performed or complied with by the Purchaser by the time of the Closing, and the Seller shall have received a certificate of the Purchaser (which shall be executed on behalf of the Purchaser by an officer of the Purchaser (not in such officer’s personal capacity)) to such effect.

Performance of Obligations of the Purchaser. The Purchaser shall have performed or complied in all material respects with all obligations, covenants and agreements required by this Agreement to be performed or complied with by the Purchaser by the time of the Initial Closing, and the Seller shall have received a certificate of the Purchaser (which shall be executed on behalf of the Purchaser by an officer of the Purchaser (not in such officer’s personal capacity)) to such effect.

Performance of Obligations of the Purchaser. The Purchaser shall have performed or complied in all material respects with all obligations, obligations and covenants and agreements required by this Agreement or any other Transaction Document to be performed or complied with by the Purchaser by the time of the Closing, and the Seller Sellers shall have received a certificate of the Purchaser (which shall be executed on behalf of the Purchaser signed by an authorized officer of the Purchaser (not in such officer’s personal capacity)) to such effect; provided, however, that, for purposes of clarification, the parties hereto acknowledge that the failure to execute the Reciprocal Agreement shall not constitute a failure to comply with this Section 7.03(b).
