Performance of Products. Each of the Product Offerings of the Company or its subsidiaries performs in all material respects, free of significant bugs or programming errors, in compliance with the functions, performance and other requirements described in any warranty, published specifications or end user documentation provided by the Company or any subsidiary of the Company to customers acquiring such Product Offerings.
Performance of Products. The Products perform in accordance with their documented specifications and other documentation and as each of the IPG Entities has warranted to its customers. Without limiting the foregoing, to the knowledge of the Company, the Products do not intentionally, contain any "viruses", "time-bombs", "key-locks", or any other devices intentionally created that could disrupt or interfere with the operation of the Products or the integrity of the data, information or signals they produce in a manner adverse to any of the IPG Entities or any licensee.
Performance of Products. Without limiting the foregoing, to the knowledge of the Company, the Products do not intentionally contain any "viruses", "time-bombs", "key-locks", or any other devices intentionally created that could disrupt or interfere with the operation of the Products or the integrity of the data, information or signals they produce in a manner adverse to the Company or any licensee.
Performance of Products. There are no technical problems, including bugs, viruses, worms, Trojan horses or programming errors, with any of the Company’s or its Subsidiaries’ products, including the Software incorporated therein, that adversely affect the performance of such Company products or cause such products to fail to substantially conform to their written specifications.
Performance of Products. The Products perform (a) free of Disabling Codes, and (b) consistent with representations and warranties expressly made by Seller to users of the Software when licensing such Software. Except as set forth in Schedule 4.10(k), no Person has been allowed to access, use, copy or distribute any Products except pursuant to a valid, enforceable End User License Agreement or Technology Distribution Agreement.
Performance of Products. Licensor represents and warrants to Licensee that each Product manufactured by Licensee shall, when properly manufactured, operated and maintained, achieve the performance specifications established by Licensor for such Product which are attached as Schedule 11.11hereto.

  • Acceptance of Products ▇▇▇▇▇ acknowledges and agrees that Software is not subject to acceptance criteria or testing. Buyer further agrees that partial or beneficial use of any Product(s) by ▇▇▇▇▇, ▇▇▇▇▇’s customer, or any End User, including any placement of Software into a production environment at any time, will constitute final acceptance of such Product(s) under this Agreement.

  • Manufacture of Products All Products marketed through Grantor's Web ------------------------- Site shall be manufactured, packaged, prepared, and shipped in accordance with the specifications and requirements described on Exhibit A hereto as it may be modified from time to time. Quality control standards relating to the Product's weight, color, consistency, micro-biological content, labeling and packaging are also set forth on Exhibit A. In the event that Exhibit A is incomplete, Products shall be manufactured and shipped in accordance with industry standards.

  • Performance of the Services In addition to the Common Articles, it is specified that:

  • Maintenance of Profitability Seller shall not permit, for any Test Period, Net Income for such Test Period, before income taxes for such Test Period and distributions made during such Test Period, to be less than $1.00.

  • Return of Products No Products or part shall be returned to Seller without an approved Return Goods Authorization (“RMA”) from Seller. Custom and special order Products are non-returnable. Returns are subject to a restocking fee.
