Common use of Period of Secondment Clause in Contracts

Period of Secondment. Admin will second, or cause its applicable Affiliate (such affiliate, a “Seconding Affiliate”) to second, to the General Partner the Provided Personnel on the Effective Date and continuing, during the period (and only during the period) that the Provided Personnel are performing services for the General Partner, until the earlier of: (a) the end of the term of this Agreement; (b) such end date as is mutually agreed in writing by Admin and the General Partner; (c) a withdrawal, departure, resignation or termination of such Provided Personnel under Section 2.3; or (d) a termination of Secondment of such Provided Personnel under Section 2.4. The period of time that any Provided Personnel is provided by Admin to the General Partner is referred to in this Agreement as the “Period of Secondment.” At the end of the Period of Secondment for any Provided Personnel, such Provided Personnel will no longer be subject to the supervision, control or direction of the General Partner. Admin and the General Partner acknowledge that certain of the Provided Personnel may also provide services to Admin and its Affiliates in connection with their respective operations unrelated to the General Partner (“Shared Provided Personnel”), and Admin and the General Partner intend that such Shared Provided Personnel shall only be seconded to the General Partner during those times that the Shared Provided Personnel are performing services for the General Partner hereunder.

Period of Secondment. Admin Hess will second, or cause its applicable Affiliate (such affiliate, a “Seconding Affiliate”) to second, second the Seconded Employees to the General Partner the Provided Personnel starting on the Effective Date and continuing, during the period (and only during the period) that the Provided Personnel Seconded Employees are performing services functions for the General Partner, until the earlier earliest of: (a) the end of the term of this Agreement; (b) such end date set forth for any Seconded Employees as is may be mutually agreed in writing by Admin and the General PartnerParties (as applicable, the “End Date”); (c) a withdrawal, departure, resignation or termination of such Provided Personnel Seconded Employees under Section 2.3; orand (d) a termination of Secondment of such Provided Personnel Seconded Employees under Section 2.4. The period of time that any Provided Personnel Seconded Employee is provided by Admin Hess to the General Partner is referred to in this Agreement as the “Period of Secondment.” At the end of the Period of Secondment for any Provided PersonnelSeconded Employee, such Provided Personnel Seconded Employee will no longer be subject to the supervision, control or direction of the General Partner. Admin and by the General Partner of the Seconded Employee’s day-to-day activities. Notwithstanding anything herein to the contrary, the Parties acknowledge that certain of the Provided Personnel Seconded Employees may also provide services to Admin and its Affiliates perform functions for Hess in connection with their respective its own operations unrelated to and that the General Partner (“Shared Provided Personnel”), and Admin and the General Partner Parties intend that such Shared Provided Personnel the Seconded Employees shall only be seconded to the General Partner only during those times that the Shared Provided Personnel Seconded Employees are performing services functions for the General Partner hereunder.
