Permits and Other Authorizations. 10 of the Seller Disclosure Schedule lists all licenses, permits, franchises and other authorizations of any Governmental Authority (the "Permits") necessary or for the conduct of the Business as currently conducted or proposed to be conducted except where such failure would not reasonably be expected, individually or in the aggregate, to have a Material Adverse Effect. Except as set forth in Section 2.10 of the Seller Disclosure Schedule, all such Permits are in full force and effect, and no proceeding is pending or, to the knowledge of the Sellers, threatened seeking the revocation or limitation of any such Permit.
