Common use of Permits and Qualifications Clause in Contracts

Permits and Qualifications. All Permits that are held by Seller relating to the ownership or operation of the Assets or the Facilities or the conduct of the Business (including, but not limited to, the manufacture, use, marketing, promotion, sale or distribution of the Products) are listed in Schedule 2.1.5 to the Disclosure Memorandum, with their expiration dates, if any. Each of these Permits is in full force and effect, unless noted on said Schedule 2.1.5, and Seller has not received any notice of any alleged violation (whether past or present and whether remedied or not) of, nor any threat of the suspension, revocation, modification, invalidity or limitation of, any such Permit.

Permits and Qualifications. Each of these Permits Seller is and has been in full force and effect, unless noted on said Schedule 2.1.5compliance with all such Permits, and Seller has not received any notice of any alleged violation (whether past or present and whether remedied or not) of, nor any threat of the suspension, revocation, modification, invalidity or limitation of, any such Permit, nor is Seller aware of any basis for any claim of any such violation or any such threat. To the extent transferable, all such Permits will be effectively assigned to Buyer without additional liability to Buyer upon the Closing.
