Common use of Permits, Licences and Approvals Clause in Contracts

Permits, Licences and Approvals. (a) Project Co shall, at its own cost and risk: (i) obtain, maintain, and, as applicable, renew all Project Co Permits, Licences and Approvals which may be required for the performance of the Project Operations; and (ii) comply with all Permits, Licences and Approvals in accordance with their terms. (b) Where Project Co Permits, Licences and Approvals have requirements that may impose any conditions, liabilities or obligations on WGH or any WGH Party, Project Co shall not obtain such Project Co Permits, Licences and Approvals without the prior written consent of WGH, not to be unreasonably withheld or delayed, provided that WGH shall not be responsible for obtaining or for the failure of Project Co to obtain any Project Co Permit, Licence or Approval. WGH shall comply, or shall require compliance, with any conditions, liabilities or obligations as are imposed on WGH or any WGH Party by the requirements of any Project Co Permit, Licence or Approval obtained with WGH's consent. (c) WGH shall provide Project Co with such information and administrative assistance as Project Co may reasonably require in relation to the Project Co Permits, Licences and Approvals.

(b) Where Project Co Permits, Licences and Approvals have requirements that may impose any conditions, liabilities or obligations on WGH STEGH or any WGH STEGH Party, Project Co shall not obtain such Project Co Permits, Licences and Approvals without the prior written consent of WGHSTEGH, not to be unreasonably withheld or delayed, provided that WGH STEGH shall not be responsible for obtaining or for the failure of Project Co to obtain any Project Co Permit, Licence or Approval. WGH STEGH shall comply, or shall require compliance, with any conditions, liabilities or obligations as that are imposed on WGH STEGH or any WGH STEGH Party by the requirements of any Project Co Permit, Licence or Approval obtained with WGH's STEGH’s consent. (c) WGH STEGH shall provide Project Co with such information and administrative assistance as Project Co may reasonably require in relation to the Project Co Permits, Licences and Approvals.

WGH NHS shall comply, or shall require compliance, with any conditions, liabilities or obligations as are imposed on WGH NHS or any WGH NHS Party by the requirements of any Project Co Permit, Licence or Approval obtained with WGHNHS's consent. (c) WGH NHS shall provide Project Co with such information and administrative assistance as Project Co may reasonably require in relation to the Project Co Permits, Licences and Approvals.

WGH HMQ shall comply, or shall require compliance, with any conditions, liabilities or obligations as that are imposed on WGH HMQ or any WGH HMQ Party by the requirements of any Project Co Permit, Licence or Approval obtained with WGH's HMQ’s consent. (c) WGH HMQ shall provide Project Co with such information and administrative assistance as Project Co may reasonably require in relation to the Project Co Permits, Licences and Approvals.

WGH HMQ shall comply, or shall require compliance, with any conditions, liabilities or obligations as are imposed on WGH HMQ or any WGH Party Province Person by the requirements of any Project Co Permit, Licence or Approval obtained with WGHHMQ's consentconsent under this Section 9.4(b). (c) WGH HMQ shall provide Project Co with such information and administrative assistance as Project Co may reasonably require in relation to the Project Co Permits, Licences and Approvals.
