Permitted Transfer Procedures. The grantee shall give notice to the Company and AMN Acquisition Corp., a Delaware corporation ("AMN") of its intention to make any transfer permitted under Section 8(a)(ii) not less than thirty (30) calendar days prior to effecting such transfer, which notice shall state the name and address of the party to whom such transfer is proposed and the Stock proposed to be transferred.
