PLAN OPERATION. CAS shall submit the Columbia Analytical Services, Inc., Employee Stock Ownership Plan ("ESOP") to the Internal Revenue Service ("IRS") for a favorable determination letter within the remedial amendment period set forth in Section 401(b) of the Code and shall make such changes to the ESOP as the IRS requires as a condition to the issuance of such determination letter. Further, CAS shall cause the ESOP to be operated and administered as a qualified plan under Sections 401(a) and 4975(e)(7) of the Code and in material compliance with all applicable requirements of ERISA and regulations thereunder as from time to time in effect and applicable to the ESOP.

  • Continuous Operation The work week shall provide for continuous operation based on a seven (7) day week, twenty-four (24) hours per day.

  • Emergency Mode Operation Plan Contractor must establish a documented plan to enable continuation of critical business processes and protection of the security of electronic County PHI or PI in the event of an emergency. Emergency means any circumstance or situation that causes normal computer operations to become unavailable for use in performing the work required under this Agreement for more than twenty-four (24) hours.
