Platform Description. We developed a new solution, the online Dreamport Platform (“Platform”), that we are going to further improve, extend and advance. The Platform shall offer a virtual environment and ecosystem of tools and processes to cater to providing efficient application, onboarding, training, examination, and, ultimately, operational performance of Independent Travel Managers (“ITM”). Independent Travel Managers support travelers in planning their trips by providing exceptional service in: booking flights or accommodation, arranging cruises, renting cars, looking for resort stays, and managing events. ITMs provide their services based on separate independent freelance service agreements and are engaged on a ‘business-to-business’ principle as independent contractors. Nothing under this Agreement creates an employment, agency, or joint venture relationship between Dreamport and any User or ITM. A user may be treated as an ITM only in the case of due execution of a Service Agreement (as this term defined under Section 8 (Service Agreement) below) as provided further. User acknowledges and agrees that he or she, and not Dreamport, is solely responsible for (a) evaluating and determining the suitability of the ITM role and rendering freelance services; (b) assessing whether to enter into a Service Agreement; (c) deciding whether to enter into a Service Agreement as well as the contract terms, and (d) negotiating, agreeing to, and executing any terms or conditions of the contracts as ITMs and for performing and monitoring performance under them. Nothing in this Agreement is intended to or does prohibit or discourage any User from engaging in any other business activities or providing any services through any other channels they choose. Users are free at all times to engage in such other business activities and services and are encouraged to do so.
Platform Description. The Platform is an automated web-based investment management platform consisting of various portfolios of Investments or models, in each case made available as determined by Altruist and subject to the ability of Advisor and Clients in consultation with Advisor to impose reasonable restrictions, held in an Account (“Model Portfolios” and each a “Model Portfolio”). Advisor shall attest that Advisor is granted discretionary authority by Clients. The Platform is not provided on an exclusive basis to the Advisor or its Clients, and Advisor acknowledges that Altruist provides substantially similar services to other parties and clients. The Platform shall have the features and specifications set forth below and in Appendix A (The Platform), including but not limited to the Questionnaire and Automated Investment Engine. No Model Portfolio is personalized or in any way tailored to reflect the personal financial circumstances or investment objectives of any Client. Advisor agrees that Altruist will not act as a fiduciary to any Client, investment Advisor to any Client for purposes of the Advisors Act, or a “fiduciary” or “investment manager” to any Client, as those terms are used in Section 4975 of the Internal Revenue Code of 1986 and the Employee Retirement Income Security Act of 1974, and Advisor agrees that it will not make any representation to the contrary. Advisor will have sole responsibility for determining the appropriateness, diversification or suitability of the Platform and any particular model, portfolio, or Model Portfolio for each Client. Altruist gives no warranty as to the performance or profitability of the Model Portfolios or any part thereof, or any guarantee that any investment objectives will be achieved. Advisor has sole responsibility for the acceptance, rejection or implementation of Portfolios provided by Altruist. The parties acknowledge and agree that (i) only the Advisor will exercise “investment discretion” over Client accounts for purposes of Section 13(f) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”); and (ii) the Advisor will be solely responsible for filing any required reports with the SEC pursuant to Section 13(f) and the rules and regulations thereunder. Advisor acknowledges that, depending on the circumstances, including the timing and dissemination of Model Portfolios or related changes, Altruist may disseminate Model Portfolios or related changes, or execute transactions for accounts for which Altru...
Platform Description. Partner supplies SDC with the email addresses for its employees (or others, such as contractors, whom SDC deems to be eligible for participation). SDC then delivers periodic email messages (each a “Platform Communication”), at a frequency and on a date to be determined by Partner using the Platform’s customizable portal interface (the “Portal”) or otherwise communicated to Partner’s designated account manager. Each email message is delivered to all participating employees (each cumulative transmission a “Delivery”). SDC has developed a number of “appreciation messages” that can be included in the Platform Communications – one message for each Delivery. Partner may choose one of the available messages or submit its own through the Portal. Each Platform Communication within an agreed period (the “Prize Period”) will advise recipients that they are on their way toward becoming eligible to win one of several identified prizes. The Platform Communication in the last Delivery for that Prize Period will include instructions advising employees on how they can determine whether they have won a prize. The instructions will direct the employees to a website hosted by SDC but that may be cobranded with Partner (the “Prize Website”). Prizes will be awarded randomly based on SDC’s proprietary algorithm. SDC makes available one or more prize options to Partner, which Partner will select as set forth below.

Application to avail of such insurance products mentioned in Section 2.2. of this Agreement, will require submitting my personal information thru the Portal and applicable Customer KYC documents and information. 2.4. Online payment options made available in the Portal are the prerogative of BPI MS. Should I request for other payment options, I understand that it will be subject for approval and BPI MS has all the right to accept or deny such request.

Platform Description. The Learning About STEM Student Outcomes (“LASSO”) is hosted by Iowa State University of Science and Technology on behalf of its School of Education. LASSO is an online educational tool to aid instructors and their institutions in tracking and evaluating student progress using assessments and reporting regarding student performance at institutions of higher education within the United States (the “Platform”). ▇▇▇▇▇ supports instructors by measuring their students’ success throughout their course. LASSO does this utilizing research- based assessments (RBAs). LASSO administers, scores, and analyzes RBAs at the beginning and end of an instructor’s course. Instructors then have access to personally identifiable student assessment responses and scores and reports with aggregate results. Instructors will be responsible for identifying the appropriate educational assessment for their classroom use on the Platform and for identifying and inviting students to participate in the Platform and assessment. Instructors may only invite current students in their class to use the Platform. In addition, Instructor shall be responsible for determining that any assessment coordinator added to the instructor’s class assessment is authorized to access the Platform Data.
