Pledge Documents. Collectively, the Deed of Pledge, the Share Charge, each additional pledge document executed and delivered pursuant to Section 8.13(c)(iii) and all instruments and documents required to be executed and delivered pursuant to the foregoing. A professional market party as defined in the Dutch Banking Act Exemption Regulation (which includes (among others) (i) duly supervised banks, insurance companies, securities institutions, investment institutions and pension funds in the European Economic Area, Hungary, Monaco, Poland, Puerto Rico, Saudi Arabia, Slovakia, the Czech Republic, Turkey, South Korea, the United States, Japan, Australia, Canada, Mexico, New Zealand or Switzerland, (ii) central governments, central banks and international and supranational organizations, (iii) enterprises with (on their most recent year-end balance sheet date) consolidated total assets of at least EUR 500,000,000, (iv) enterprises (A) with (on their most recent year-end balance sheet date) consolidated equity of at least EUR 10,000,000, and (B) which have been active on the financial markets at least twice a month (on average) during the last two years, and (v) enterprises which have a rating (or which have issued securities having a rating) from ▇▇▇▇▇’▇. S&P, Fitch or another rating agency accepted by the Dutch Central Bank (De Nederlandsche Bank N.V.)).
