Common use of Portfolio Administration Clause in Contracts

Portfolio Administration. In furtherance of the provisions of Section 2.1 hereof, the Sponsor further specifically authorizes and directs the Trustees: (a) Determination of Dilution, Merger or Acceleration Adjustments. Upon receipt of any notice pursuant to Section 5.4(b) of the Contracts of an event requiring an adjustment to the Exchange Rate, or upon otherwise acquiring knowledge of such an event, to calculate the required adjustment and furnish notice thereof to the Collateral Agent and the Sellers, or to request from the Sellers such further information as may be necessary to calculate or effect the required adjustment;
