Common use of Portfolio Data Clause in Contracts

Portfolio Data. Notwithstanding anything to the contrary contained in this Servicing Agreement, but subject to applicable Government Requirements, Lender grants Servicer a perpetual (during and after the Term), non-exclusive, non-transferable (except in accordance with the provisions permitting assignment of this Servicing Agreement), non-sublicensable, irrevocable license to share De-identified Data associated with the Loans with the Program Merchants and Sponsors, potential and actual financing sources and investors in Servicer’s business, Servicer’s business partners and professional advisors or as required in Servicer’s SEC filings. Servicer may not otherwise transfer, sell, license, disclose or distribute any non-aggregated De-identified Data unless agreed to in writing in advance by Lender or as required by applicable Law or Governmental Authority.

Notwithstanding anything to the contrary contained in this Servicing Loan Origination Agreement, but subject to applicable Government RequirementsLaw, Lender grants Servicer a perpetual (during and after the Term), non-exclusive, non-transferable (except in accordance with the provisions permitting assignment of this Servicing Loan Origination Agreement), non-sublicensable, irrevocable license to share De-identified Data associated with the Loans with the Program Merchants and Sponsors, potential and actual financing sources and investors in Servicer’s business, Servicer’s business partners and professional advisors or as required in Servicer’s SEC filings. Servicer may not otherwise transfer, sell, license, disclose or distribute any non-aggregated De-identified Data unless agreed to in writing in advance by Lender or as required by applicable Law or Governmental Authority.
