Common use of Position and Duties Clause in Contracts

Position and Duties. The Executive shall serve as Executive Vice President of the Company with responsibilities and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The Company hereby engages and employs Executive shall serve as an Executive Vice President of the Company with responsibilities Company. Executive shall have such duties and authority as are customary for, and commensurate with, such position, and such other related duties and authority as may from time to time be delegated or assigned to him by the Chief Executive Officer and/or or the Board of Directors of the CompanyEmployer. Executive agrees to perform faithfully shall discharge his duties in a diligent and industriously the duties which the Company may assign to himprofessional manner.

Position and Duties. The During the term of Executive’s employment hereunder, Executive shall serve as an Executive Vice President of the Company with responsibilities and authority shall have such powers and duties as may from time to time be assigned prescribed by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees shall devote substantially all his working time and effort to perform faithfully the business and industriously the duties which affairs of the Company may assign to himand its affiliates.

During the Term, Executive shall have the duties and responsibilities for the position(s) then held by Executive that are commensurate with those held by similarly situated executives at similarly situated companies of similar size, and such other duties and responsibilities and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Companythat are reasonably consistent with Executive’s position. Executive agrees shall report to perform faithfully and industriously the duties which the Company may assign to himChief Executive Officer.

The During the term of Executive's employment hereunder, Executive shall continue to serve as Executive Vice President and Chief Financial Officer of Company and shall have such powers and duties as on the Company with responsibilities Effective Date or such other powers and authority duties as may from time to time be assigned prescribed by the Chief Executive Officer and/or the Board of Directors of the CompanyDirectors. Executive agrees shall devote substantially all his working time and effort to perform faithfully the business and industriously the duties which the affairs of Company may assign to himand its affiliates.

Position and Duties. The Executive shall serve as Executive Vice President and Chief Financial Officer of the Company with responsibilities and authority as may from time to time be assigned to him by the Chief Executive Officer and/or the Board Boards of Directors of the Company. The Executive agrees shall devote substantially all of his working time and efforts to perform faithfully and industriously the duties which business affairs of the Company may assign to himCompany.

The During the Term, the Executive shall serve as Executive Senior Vice President - CFO of the Company with Company, and shall have such responsibilities and authority as may from is commensurate with such office. The Executive shall devote substantially all of his working time and efforts to time be assigned by the Chief Executive Officer and/or the Board of Directors business and affairs of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The Company shall employ the Executive as its Executive Vice President Technology. The Executive shall serve as (a) perform the duties of Executive Vice President of the Company with responsibilities and authority Technology as may set from time to time be assigned by the Chief Executive Officer and/or or the Board of Directors Board; (b) be a full time employee devoting his attention and energies to the business of the Company. ; (c) use his best efforts to promote the interests of the Company; (d) perform such functions and services as shall lawfully be directed by the Chief Executive agrees Officer or the Board; (e) act in accordance with the policies and directives of the Company; and (f) report directly to perform faithfully and industriously the duties which the Company may assign to himChief Executive Officer.

Position and Duties. The During the Executive’s employment with the Company pursuant to this Agreement, the Executive shall serve as an Executive Vice President of the Company with and shall have such responsibilities and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees Company (the “CEO”) shall delegate, expand, limit or otherwise change from time to perform faithfully and industriously the duties which the Company may assign to himtime.

The During the Term, the Executive shall serve as Executive Senior Vice President - Marketing and Sales of the Company with Company, and shall have such responsibilities and authority as may from is commensurate with such office. The Executive shall devote substantially all of his working time and efforts to time be assigned by the Chief Executive Officer and/or the Board of Directors business and affairs of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The Executive shall will serve as Executive Vice President President, Engineering of the Company with and will report to the Company’s Chief Executive Officer. The duties and responsibilities of Executive shall include the duties and authority responsibilities for Executive’s corporate office and position as set forth in Company’s bylaws from time to time in effect and such other duties and responsibilities as Company’s Chief Executive Officer may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may reasonably assign to himExecutive, in all cases to be consistent with Executive’s corporate office and position. The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

Position and Duties. The Executive shall serve as Executive the Company’s Senior Vice President President, Marketing and Sales and as an officer of such of the Company’s subsidiaries as the Company with responsibilities shall reasonably request, and shall have such responsibilities, duties and authority as are customarily associated with such offices, including but not limited to, those he may from have as of the date hereof. The Executive shall serve as Executive Vice President and Chief Operations Officer of the Company with responsibilities and authority as may from time to time be assigned to her by the Chief Executive Officer and/or the Board Boards of Directors of the Company. The Executive agrees shall devote substantially all of her working time and efforts to perform faithfully and industriously the duties which business affairs of the Company may assign to himCompany.

The During the Employment Period, Executive shall serve as Executive Vice President Chairman of the Company and Independent Bank, with responsibilities such duties and authority as may from time are customarily associated with such positions in public companies. Executive shall report solely and directly to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully Company and industriously the duties which the Company may assign to himIndependent Bank.

Position and Duties. The Executive shall serve as Executive Vice President Chairman reporting to the Chairman of the Board of the Company with responsibilities and authority shall have such powers and duties as may from time to time be assigned by the Chief Executive Officer and/or Chairman of the Board or the Board of Directors of the Company; provided, however, that such duties are consistent with his present duties and his position with the Company. Executive agrees shall devote substantially all his working time and efforts to perform faithfully the continued success of the business and industriously affairs of the duties which the Company may assign to himCompany.

Position and Duties. The During the Term, the Executive shall will serve as Executive Vice President President, Logistics and Supply, of the Company with and will have such duties, functions, responsibilities and authority as may from time are (i) consistent with the Executive's position as Executive Vice President, Logistics and Supply, of the Company; or (ii) assigned to time be his office in the Company's bylaws; or (iii) reasonably assigned to him by the Chief Executive Officer and/or the Company's Board of Directors of (the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him’s services known as Charter Business.

Position and Duties. The Company shall employ the Executive as its Executive Vice President Business Development. The Executive shall serve as (a) perform the duties of Executive Vice President of the Company with responsibilities and authority Business Development as may set from time to time be assigned by the Chief Executive Officer and/or or the Board of Directors Board; (b) be a full time employee devoting his attention and energies to the business of the Company. ; (c) use his best efforts to promote the interests of the Company; (d) perform such functions and services as shall lawfully be directed by the Chief Executive agrees Officer or the Board; (e) act in accordance with the policies and directives of the Company; and (f) report directly to perform faithfully and industriously the duties which the Company may assign to himChief Executive Officer.

Position and Duties. The Executive shall serve as the Executive Vice President and General Counsel of the Company Company. During the Term, Executive shall have the duties and responsibilities for the position(s) then held by Executive that are commensurate with those held by similarly situated executives at similarly situated companies of similar size, and such other duties and responsibilities and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Companythat are reasonably consistent with Executive’s position. Executive agrees shall report to perform faithfully and industriously the duties which the Company may assign to himChief Executive Officer.

The Executive shall serve as Executive Vice President President, Chief Operating Officer and Chief Financial Officer of the Company with responsibilities and authority shall have the powers and duties as may from time to time be assigned prescribed by the Company's Chief Executive Officer and/or the and Board of Directors (the "Board"), provided that the Executive's duties are consistent with the Executive's position as a senior executive officer involved with the general management of the Company. The Executive agrees shall report to perform faithfully and industriously the duties which the Company may assign to himChief Executive Officer.

Executive agrees shall devote substantially all his working time and effort to perform faithfully the business and industriously the duties which the affairs of Company may assign to himand its affiliates.

Position and Duties. (a) The Executive shall serve be employed by the Company as an Executive Vice President President. The scope of his duties and the Company with extent of his responsibilities shall be substantially the same as the duties and authority as may from responsibilities that the Executive currently performs. The Executive shall be required to devote substantially all of his business time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully 's business and industriously the duties which the Company may assign to himaffairs.

Position and Duties. The Executive shall serve as Executive Vice President of the Company with responsibilities President, General Counsel and Corporate Secretary, and shall have such responsibilities, duties and authority as are consistent with such position and such other duties as may from time to time be assigned to him by the Chief Executive Officer and/or the Board of Directors of the CompanyOfficer. The Executive agrees to perform faithfully devote substantially all his working time, attention and industriously energies to the performance of his duties which for the Company may assign to himCompany.

Position and Duties. The Executive shall serve is hereby employed as Executive Vice President the Vice-President, Chief Financial Officer, Controller and Treasurer of the Company Company, and will use his best energies and abilities in the performance of his duties, related to and consistent with responsibilities and authority his position, as may be assigned to him from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company (the “Board”), or by the Chief Executive Officer of the Company. Executive agrees to perform faithfully and industriously Executive’s duties shall include managing the duties which financial direction of the Company may assign and duties of comparable status and responsibility that the Board determines are necessary to himconduct the business of the Company.

Position and Duties. The Executive Employee shall serve as the Executive Vice President and Chief Financial Officer of the Company with responsibilities Company, and report directly to the Company's Chief Executive Officer and, subject to the authority of the Company's Chief Executive Officer and Board of Directors, shall have such powers and duties as may from time to time be assigned prescribed by the Company's Chief Executive Officer and/or the Board of Directors Directors, provided that such duties are reasonable and customary for an Executive Vice President and Chief Financial Officer of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to hima public company.

Position and Duties. The Executive shall serve as the Executive Vice President President, Sales & Marketing of the Company, and shall have such authority, duties and responsibilities as ordinarily assigned to an employee holding such position. Executive shall also have such additional authority, duties and responsibilities as assigned to him by the Company with responsibilities and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to himwith his consent.

Position and Duties. The Executive shall serve as an Executive Vice President of the Company with responsibilities Company, performing the functions and authority duties as may shall be prescribed from time to time be assigned by provided that such functions and duties are consistent with and attendant to Executive's position or other positions that he may hold from time to time. Executive shall devote his full working time and efforts to the Chief Executive Officer and/or the Board of Directors business and affairs of the Company. Executive agrees to Company and the promotion of its interest and perform faithfully all duties and industriously the duties which services on behalf of the Company may assign necessary to himcarry out such functions." The Executive shall serve as Executive Senior Vice President - Operations of the Company with and shall have such responsibilities and authority as may from time to time normally be assigned exercised by the Chief Executive Officer and/or the Board a senior vice president of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to hima company.

Position and Duties. The During the Term, the Executive shall will serve as Executive Vice President and Deputy General Counsel of the Company with Company, and will have such duties, functions, responsibilities and authority as may from time are (i) consistent with the Executive's position as Vice President and Deputy General Counsel of the Company; or (ii) assigned to time be his office in the Company's bylaws; or (iii) reasonably assigned to him by the Chief Executive Officer and/or the Company's Board of Directors of (the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him"Board").

Position and Duties. The Executive shall serve as and hold the title of Executive Vice President and Chief Financial Officer of the Company with responsibilities Company, and shall have such responsibilities, duties and authority as are generally associated with such office and as may from time to time be assigned to Executive by the Chief Company that are consistent with such responsibilities, duties and authority. Executive Officer and/or shall devote substantially all of his or her working time and efforts to the Board of Directors business and affairs of the Company. Executive agrees to perform faithfully Company and industriously the duties which the Company may assign to himits subsidiaries and affiliates.

Position and Duties. The Executive shall serve as Executive Vice President and Chief Operating Officer of the Company with and shall have such responsibilities and authority as may from time to time normally be assigned exercised by the Chief Executive Officer and/or the Board a chief operating officer of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to hima company.

Position and Duties. The Executive shall serve as Executive Senior Vice President President, Human Resources of the Company with or another position which shall be either of comparable rank or a promotion and shall continue to have such responsibilities and authority duties as may from time assigned to time be assigned her by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously , the duties which Chief Operating Officer of the Company may assign or the Board from time to himtime.

Position and Duties. The During the Executive’s employment with the Company pursuant to this Agreement, the Executive shall serve as the Executive Vice President of the Company with and shall have such responsibilities and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees Company (the “CEO”) shall delegate, expand, limit or otherwise change from time to perform faithfully and industriously the duties which the Company may assign to himtime.

Position and Duties. The Executive shall serve as Executive Vice President of President, Care Operations, initially reporting to the Company Chief Operating Officer, with responsibilities such responsibilities, duties and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Companyare customary for such role. Executive agrees to perform faithfully shall devote all necessary business time and industriously attention, and employ Executive's reasonable best efforts, toward the duties which fulfillment and execution of all assigned duties, and the Company may assign to himsatisfaction of defined annual and/or longer-term performance criteria.

Position and Duties. The During the Term of Executive's Employment hereunder, the Executive shall serve as Vice President, Operations reporting to the Chief Executive Vice President Officer of the Company with responsibilities and authority the Board of Directors of the Company, and shall have responsibility for of the Company's operations, and shall have such other powers and duties as may from time to time be assigned prescribed by the Chief Executive Officer and/or or by the Board of Directors of the Company. The Executive agrees shall devote his entire working time and efforts to perform faithfully the business and industriously affairs of the duties which the Company may assign to himCompany.

Position and Duties. The Executive shall serve in the position of Executive Vice-President and General Counsel, with such powers, duties, and/or responsibilities as are assigned to Executive Vice President by the Company’s Chief Executive Officer or his/her delegate. Executive will devote his best efforts, time, and attention exclusively to the business of the Company, and shall faithfully and efficiently discharge all duties and responsibilities assigned to him hereunder. Executive shall comply with all Company with responsibilities policies, procedures and authority practices as may now exist or which from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to himimplemented.

Position and Duties. The During the term of Executive’s employment hereunder, Executive shall serve as Executive Vice President & General Counsel of the Company with responsibilities and authority shall have such powers and duties as may from time to time be assigned prescribed by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees shall devote substantially all his working time and effort to perform faithfully the business and industriously the duties which affairs of the Company may assign to himand its affiliates.

Position and Duties. The Executive shall serve as the Executive Vice President President, Finance and Chief Financial Officer of the Company with responsibilities and authority as may from time shall report to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive shall have the authority and responsibilities customarily accorded to such position and shall perform such duties faithfully and conscientiously. Executive agrees to perform faithfully devote substantially all of his or her normal business efforts and industriously time during normal business hours to the performance of Executive’s duties which the Company may assign to himhereunder.

Position and Duties. The Executive shall will serve as Executive Vice President of the Company with responsibilities and authority as may from time to time be assigned by the Chief Executive Financial Officer and/or the Board of Directors of the Company. Executive agrees will render such business and professional services in the performance of Executive’s duties, consistent with Executive’s position within the Company, as will reasonably be assigned by the Company’s Chief Executive Officer (“CEO”). The CEO may modify Executive’s job title and duties as it deems necessary and appropriate in light of the Company’s needs and interests from time to perform faithfully and industriously time. The period of Executive’s employment under this Agreement is referred to herein as the duties which the Company may assign to him“Employment Term.”

Position and Duties. The Executive shall serve as Executive Vice President - Corporate Development of the Company with responsibilities and President of ▇▇▇▇▇▇▇ Seating, Inc., a subsidiary of the Company, and shall have such responsibilities, duties and authority as are customarily associated with such offices, including but not limited to, those he may from have as of the Effective Date. The Executive shall devote such time to time be assigned by the Chief Executive Officer and/or the Board performance of Directors of the Company. Executive agrees his duties as is necessary to satisfactorily perform faithfully his responsibilities and industriously the duties which the Company may assign to himduties.

Position and Duties. The Executive shall serve as the Executive Vice President and Chief Financial Officer of the Company with responsibilities Company, and shall have such responsibilities, duties and authority as may from time to time be are assigned by the Chief Executive Officer and/or the Board of Directors of the CompanyCompany and are customarily associated with such position, including but not limited to, those he may have as of the Effective Date. The Executive agrees shall devote such time to the performance of his duties as is necessary to satisfactorily perform faithfully his responsibilities and industriously the duties which the Company may assign to himduties.

Position and Duties. The Executive shall serve as the Executive Vice President President, Chief Financial Officer and Treasurer of the Company, and shall have such authority, duties and responsibilities as ordinarily assigned to an employee holding such position. Executive shall also have such additional authority, duties and responsibilities as assigned to him by the Company with responsibilities and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to himwith his consent.

The Executive shall serve is hereby employed as Executive the Senior Vice President of the Company Company, and will use his energies and abilities in the performance of his duties, related to and consistent with responsibilities and authority his position, as may be assigned to him from time to time be assigned by the Chief Executive Officer and/or the Board of Directors President and CEO of the Company. Executive agrees to shall perform faithfully and industriously such services as directed by President & CEO of the duties which the Company may assign to himCompany.

Position and Duties. The Executive shall be employed by the Company and during the Employment Period the Executive shall serve as Executive the Company’s Senior Vice President and Director of Acquisitions. The Executive shall also serve without additional compensation in such offices of subsidiaries of the Company with responsibilities and authority as to which the Executive may from time to time be assigned elected or appointed by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The Executive shall serve in the position of Senior Vice President, Operations, with such powers, duties, and/or responsibilities as are assigned to Executive Vice President by the Company's Chief Executive Officer and/or Chief Operating Officer or his delegate. Executive will devote his best efforts, time, and attention exclusively to the business of the Company, and shall faithfully and efficiently discharge all duties and responsibilities assigned to him hereunder. Executive shall comply with all Company with responsibilities policies, procedures and authority practices as may now exist or which from time to time may be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to himimplemented.

Position and Duties. The During the Term, Executive shall serve as the Executive Vice President of the Company with responsibilities and authority shall report to the President of the Company. During the Term, Executive shall also hold such additional positions and titles as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company (the “Board”) may reasonably determine from time to time. During the Term, Executive shall devote substantially all of his business time and best efforts to his duties as an employee and officer of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Executive agrees to perform faithfully devote their full business time, energy and industriously skill to her duties at the Company. These duties which shall include all those duties customarily performed by the Company may assign to himSenior Vice President and the Executive’s services shall be performed at the Company’s Destin office.

The Executive shall serve as the Executive Vice President and Chief Operating Officer of the Company, and shall have such authority, duties and responsibilities as ordinarily assigned to an employee holding the position of Chief Operating Officer with a publicly a traded company (or following a Change in Control, the ultimate parent entity of the Company) and provided to Executive in writing. Executive shall also have such additional authority, duties and responsibilities as assigned to him by the Company with responsibilities and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to himwith his consent.

Position and Duties. The Executive shall serve as Executive Vice President of the Company with responsibilities and shall have such responsibilities, duties and authority that are consistent with such position as may from time to time be assigned to the Executive by the Chief Board. The Executive Officer and/or shall devote substantially all his working time and efforts to the Board of Directors business and affairs of the Company. ; provided, however, that the Executive agrees to perform faithfully may also serve on the boards of directors or trustees of other companies and industriously organizations, as long as such service does not substantially interfere with the performance of his duties which the Company may assign to himhereunder.

The Executive shall serve as Executive Vice President Chairman of the Board of Directors of the Company with and shall have such responsibilities and authority commensurate with such position as may from time to time be assigned to Executive by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees shall devote substantially all his working time and efforts to perform faithfully the business and industriously affairs of the duties which the Company may assign to himCompany.

Position and Duties. The Executive shall serve as Executive Vice President of the Company with and shall have such responsibilities and authority as may from time to time normally be assigned exercised by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to hima person in such position at a company.

Position and Duties. The Executive shall serve as the Executive Vice President and Chief Operating Officer of the Company Company, and shall have such authority, duties and responsibilities as are ordinarily assigned to an employee holding the position of Chief Operating Officer with a publicly traded company. Executive shall also have such additional authority, duties and responsibilities and authority as may be assigned to him by the Company from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to himwith his consent.

Position and Duties. The Executive shall serve as Executive Vice President of the Company Company, with primary responsibility for the management of the Company's research and development department, and as General Counsel of the Company, with primary responsibility for the management of the Company's legal department as its chief legal officer. The Executive shall have such additional responsibilities and authority as are consistent with his position and as may from time to time be assigned to the Executive by the Board or the Chief Executive Officer and/or Officer. The Executive shall devote substantially all his working time and efforts to the Board of Directors business and affairs of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The Executive shall serve as in the position of Executive Vice Vice-President of Engineering and Operations, with such powers, duties, and/or responsibilities as are assigned to Executive by the President & Chief Executive Officer, or his/her respective delegate. Executive will devote his best efforts, time, and attention exclusively to the business of the Company, and shall faithfully and efficiently discharge all duties and responsibilities assigned to him hereunder. Executive shall comply with all Company with responsibilities policies, procedures and authority practices as may now exist or which from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to himimplemented.

Position and Duties. The Executive shall serve as Executive Vice President for Sales & Development of the Company with Company, reporting to the President and Chief Executive Officer of the Company, and shall have such responsibilities and authority as may from time to time normally be assigned exercised by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to hima person in such a position at a company.

Position and Duties. The Executive shall serve as Executive Vice President of the Company with and shall have such responsibilities and authority as may from time to time be assigned to the Executive by the Board or the Chief Executive Officer and/or Officer. The Executive shall devote substantially all his working time and efforts to the Board of Directors business and affairs of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The Executive shall serve as Executive Vice President of the Company with responsibilities and shall have such responsibilities, duties and authority as he may have as of the date hereof (or any position to which he may be promoted after the date hereof) and as may from time to time be assigned to the Executive by the Chief Board that are consistent with such responsibilities, duties and authority. The Executive Officer and/or shall devote substantially all his working time and efforts to the Board of Directors business and affairs of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The During the Term of Executive's Employment hereunder, the Executive shall serve as Executive Vice President President, Direct Mail Sales reporting to the Chief Executive Officer of the Company with responsibilities and authority the Board of Directors of the Company, and shall have responsibility for of the Company's operations, and shall have such other powers and duties as may from time to time be assigned prescribed by the Chief Executive Officer and/or or by the Board of Directors of the Company. The Executive agrees shall devote his entire working time and efforts to perform faithfully the business and industriously affairs of the duties which the Company may assign to himCompany.

Position and Duties. The During the Term, the Executive shall serve as Executive Senior Vice President and General Counsel, with responsibilities, duties, and authority customary for such position. The Executive shall report to the President & Chief Financial Officer of the Company Company. The Executive agrees to observe and comply with responsibilities the Company’s rules and authority policies as may adopted from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The Executive shall serve as the Executive Vice President and Chief Operating Officer of the Company with responsibilities performing the functions and authority duties as may shall be prescribed from time to time be assigned by provided that such functions and duties are consistent with and attendant to Executive's position or other positions that he may hold from time to time. Executive shall devote his full working time and efforts to the Chief Executive Officer and/or the Board of Directors business and affairs of the Company. Executive agrees to Company and the promotion of its interests and perform faithfully all duties and industriously the duties which services on behalf of the Company may assign necessary to himcarry out such functions.

Position and Duties. The Executive You shall serve as the Executive Vice President President, Research and Preclinical Development of the Company with responsibilities and authority shall have such powers and duties as may from time to time be assigned prescribed by the Chief Executive Officer and/or (the Board of Directors “CEO”) or other duly authorized executive. You shall devote your full working time and efforts to the business and affairs of the Company and will not engage in any other business activities during your employment by the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The Executive shall serve as Executive Vice President President-Acquisitions of the Company with responsibilities and authority during the Employment Period. The title of Executive can be reasonably adjusted by the Company. The Executive shall render management services to the Company as may from time to time be assigned reasonably determined by the Chief Executive Officer and/or the Board of Directors of the CompanyCompany (the “CEO”). The Company shall provide the Executive agrees with necessary authority and reasonable resources to perform faithfully discharge the Executive's responsibilities under laws and industriously the duties which regulations applicable to the Company may assign to himand Executive.

The During the Term, Executive shall serve as Senior Executive Vice President of the Company with responsibilities and authority as may from time to time be assigned by the President, Chief Executive Credit Officer and/or the Board of Directors of the Company. Executive agrees shall have the duties, powers and authority as are consistent with his position, including such other duties and responsibilities as are reasonably delegated him from time to perform faithfully time by the President and industriously the duties which Chief Executive Officer of the Company may assign (the “CEO”), including taking positions with Subsidiaries (as defined below) of the Company. Executive shall report to himthe CEO.

The Executive shall devote such time to time be assigned by the Chief Executive Officer and/or the Board performance of Directors of the Company. Executive agrees his duties as is necessary to satisfactorily perform faithfully his responsibilities and industriously the duties which the Company may assign to himduties.

Position and Duties. (a) The Executive shall serve as Executive Vice President Chairman and Chief Operating Officer of the Company Company, reporting to the Chairman of the Board and Chief Executive Officer of the Company, with such duties and responsibilities as are customarily assigned to such positions, and authority such other duties and responsibilities not inconsistent therewith as may be assigned to him from time to time be assigned by the Chief Executive Officer and/or Officer. In addition, throughout the Board of Directors Employment Period, the Executive shall be nominated to serve as a member of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to himBoard.

Position and Duties. The Executive shall serve as Executive Vice ------------------- President of the Company and shall have such duties, authority and responsibilities as are normally associated with responsibilities and authority as appropriate for such position. The Executive shall devote substantially all of his working time and efforts to the business and affairs of the Company, except that Executive may from time to time be assigned by perform personal or charitable activities which do not interfere with Executive's employment duties with the approval of the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The Executive shall serve as Executive have the title of Senior Vice President and Chief Commercial Officer, and shall report to the Chief Executive Officer of the Company. Executive shall also serve in such other capacity or capacities as the Company with responsibilities and authority as may from time to time prescribe. As a Company employee, Executive will be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees expected to perform faithfully and industriously the duties which the comply with Company may assign to himpolicies.

The Executive shall serve as Executive Vice President President—Treasurer and Assistant Secretary reporting to the Chief Financial Officer of the Company with responsibilities (“Direct Report”) (or his designee) and authority shall have responsibility for all treasury matters of the Company and shall have such other powers and duties as may from time to time be assigned by the Chief Executive Officer and/or Executive’s Direct Report (or his designee) or the Board of Directors of the Company; provided, however, that such duties are consistent with his present duties and his position with the Company. Executive agrees shall devote substantially all his working time and efforts to perform faithfully the continued success of the business and industriously affairs of the duties which the Company may assign to himCompany.

Position and Duties. The Executive shall serve the Company in his Corporate Position as Executive Vice President and Secretary. As such, Executive shall report directly to the President of the Company with and shall have supervision and control over, and responsibility for, corporate recordkeeping of the Company and shall have such other powers, duties and responsibilities and authority as may be from time to time be prescribed and assigned by the Chief Executive Officer and/or President and the Board of Directors Board, provided that such duties are consistent with his present duties and position as an executive officer of the Company. Executive agrees shall devote substantially all his working time and efforts to perform faithfully the business and industriously the duties which affairs of the Company may assign to himand the Bank.

Position and Duties. The Executive shall serve as the Executive Vice President of the Company with responsibilities Company. Subject to the authority of the Board of Directors and authority the Chief Executive Officer of the Company, the Executive shall have all of the powers and duties incident to the office of the Executive Vice President and such other powers and duties as may from time to time be assigned prescribed by the Board of Directors or the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully serve without further compensation, if elected or appointed thereto, as an officer or a director of any of the Company's domestic and industriously the duties which the Company may assign to himforeign subsidiaries and affiliates.

Position and Duties. The Executive shall serve as Executive Vice President for Regulatory Compliance of the Company with and shall have such responsibilities and authority as may from time to time normally be assigned exercised by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to hima person in such position at a company.

Position and Duties. The Executive shall During the Term as defined in Section 2 herein, the ] executive agrees to serve as the Executive Vice President and Chief Operating Officer of the Company and to perform such reasonable duties consistent with responsibilities and authority such position as may from time to time be assigned delineated by the Chief Executive Officer and/or and as may be assigned to her from time to time by the Board of Directors and/or Chief Executive Officer of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The Executive shall serve as Executive Vice President of the Company with responsibilities and authority as may from time to time be assigned to him by the Chief Executive Officer and/or the Board of Directors of the CompanyBank. The Executive's duties and authority shall be consistent with those of the executive vice president of a community bank with responsibility for the Bank's lending function. The Executive agrees shall devote substantially all of his working time and efforts to perform faithfully and industriously the duties which business affairs of the Company may assign to himBank.

Position and Duties. The Executive shall serve as Executive the Senior Vice President President, Human Resources of the Company Company. During the Term, Executive shall have the duties and responsibilities for the position(s) then held by Executive that are commensurate with those held by similarly situated executives at similarly situated companies of similar size, and such other duties and responsibilities and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Companythat are reasonably consistent with Executive’s position. Executive agrees shall report to perform faithfully and industriously the duties which the Company may assign to himChief Executive Officer.

Executive shall also have such additional authority, duties and responsibilities as assigned to him by the Company with responsibilities and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to himwith his consent.

Position and Duties. The Executive shall serve as Executive Senior Vice President President, Real Estate of the Company with or another position which shall be either of comparable rank or a promotion and shall continue to have such responsibilities and authority duties as may from time assigned to time be assigned him by the Chief Executive Officer and/or of the Company or the Board of Directors of the Company. Executive agrees from time to perform faithfully and industriously the duties which the Company may assign to himtime.

Position and Duties. The Executive shall serve as Executive the Vice President and Chief Accounting Officer of the Company with responsibilities Company, and shall have such responsibilities, duties and authority as may from time to time be are assigned by the Chief Executive Officer and/or the Board of Directors and are customarily associated with such position, including but not limited to, those he may have as of the CompanyEffective Date. The Executive agrees shall devote such time to the performance of his duties as is necessary to satisfactorily perform faithfully his responsibilities and industriously the duties which the Company may assign to himduties.

Position and Duties. The During the Term of Employment, the Executive shall serve as Executive the Vice President -- Sales and Marketing of the Company with and shall have such duties, functions, responsibilities and authority as may from time to time be assigned by are consistent with the Chief Executive Officer and/or the Board of Directors of Executive's position as an executive responsible for sales and marketing at the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The Executive shall serve as Executive Vice President and Chief Administrative Officer of the Company with responsibilities and authority as may from time to time be assigned to her by the Chief Executive Officer and/or the Board Boards of Directors of the Company. The Executive agrees shall devote substantially all of his working time and efforts to perform faithfully and industriously the duties which business affairs of the Company. In addition, the Executive shall serve on the Boards of Directors of the Company may assign during the term of this Agreement for so long as he is elected to himsuch Boards by the shareholders of the Company.

Position and Duties. The Executive Employee shall serve as the Corporation’s Executive Vice President President, Chief Compliance Officer and General Counsel subject to the control and direction of the Company Chief Executive Officer of the Corporation with duties and responsibilities that are customary for such office(s), including, but not limited to, management and authority oversight of the Director of Compliance. The Employee shall have such other powers and duties as may be assigned to him from time to time be assigned by the Chief Executive Officer and/or or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to himBoard.

Position and Duties. The Executive shall serve as Executive the Senior Vice President and General Counsel of the Company Group with responsibilities such customary responsibilities, duties and authority as may from time to time be assigned to Executive by the Chief Executive Officer and/or the Board of Directors of the CompanyCompany (the “CEO”). Executive shall report to the CEO. Executive shall devote substantially all of Executive’s working time and efforts to the business and affairs of the Company Group. Executive agrees to perform faithfully observe and industriously comply with the duties which rules and policies of the Company may assign Group as adopted by the Company Group from time to himtime.

Position and Duties. The Executive shall serve as Executive Vice President of President, Information and Engineering, initially reporting to the Company Chief Executive Officer, with responsibilities such responsibilities, duties and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors of the Companyare customary for such role. Executive agrees to perform faithfully shall devote all necessary business time and industriously attention, and employ Executive's reasonable best efforts, toward the duties which fulfillment and execution of all assigned duties, and the Company may assign to himsatisfaction of defined annual and/or longer-term performance criteria.

The Executive shall serve as Executive the Vice President President, Sales & Marketing, of the Company with responsibilities performing the functions and authority duties as may shall be prescribed from time to time be assigned by provided that such functions and duties are consistent with and attendant to Executive's position or other positions that he may hold from time to time. Executive shall devote his full working time and efforts to the Chief Executive Officer and/or the Board of Directors business and affairs of the Company. Executive agrees to Company and the promotion of its interests and perform faithfully all duties and industriously the duties which services on behalf of the Company may assign necessary to himcarry out such functions.

Position and Duties. The Executive shall serve as the Executive Vice President and Chief Financial Officer of the Company with responsibilities Company, and shall have such responsibilities, duties and authority as may from time to time be are assigned by the Chief Executive Officer and/or the Board of Directors and are customarily associated with such position, including but not limited to, those he may have as of the CompanyEffective Date. The Executive agrees shall devote such time to the performance of his duties as is necessary to satisfactorily perform faithfully his responsibilities and industriously the duties which the Company may assign to himduties.

Position and Duties. Throughout the term hereof, the Executive shall be employed as Vice President — Controller of the Corporation with the duties and responsibilities customarily attendant to that office, provided that the Executive shall undertake such other and further assignments and responsibilities of at least comparable status as the Corporation may direct. The Executive shall serve as Executive Vice President diligently and faithfully devote his full working time and best efforts to the performance of the Company with responsibilities services under this Agreement and authority as may from time to time be assigned by the Chief Executive Officer and/or the Board of Directors furtherance of the Company. Executive agrees to perform faithfully and industriously best interests of the duties which the Company may assign to himCorporation.

Position and Duties. The During the Term of Employment, the Executive shall serve as Executive the Vice President -- Operations of the Company with and shall have such duties, functions, responsibilities and authority as may from time to time be assigned by are consistent with the Chief Executive Officer and/or the Board of Directors of Executive's position as an executive responsible for operations at the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Position and Duties. The During the Term as defined in Section 2 herein, the Executive shall agrees to serve as the Executive Vice President and Chief Operating Officer of the Company and to perform such reasonable duties consistent with responsibilities and authority such position as may from time to time be assigned delineated by the Chief Executive Officer and/or and as may be assigned to her from time to time by the Board of Directors and/or Chief Executive Officer of the Company. Executive agrees to perform faithfully and industriously the duties which the Company may assign to him.

Executive agrees shall devote substantially all his working time and effort to perform faithfully the business and industriously the duties which affairs of the Company may assign to himand its affiliates.

Position and Duties. The Executive shall serve as Executive Senior Vice President President, Assistant to the Chairman of the Company with or another position which shall be either of comparable rank or a promotion and shall continue to have such responsibilities and authority duties as may from time assigned to time be assigned him by the Chief Executive Officer and/or the Board of Directors of the Company. Executive agrees to perform faithfully and industriously , the duties which Chief Operating Officer of the Company may assign or the Board from time to himtime.

Position and Duties. The Executive shall serve as Executive Vice President and General Counsel of the Company with responsibilities and shall have such responsibilities, duties and authority that are consistent with such positions as may from time to time be assigned to the Executive by the Chief Board. The Executive Officer and/or shall devote substantially all his working time and efforts to the Board of Directors business and affairs of the Company. Company and its subsidiaries; provided, however, that the Executive agrees to perform faithfully may also serve on the boards of directors or trustees of other companies and industriously organizations, as long as such service does not substantially interfere with the performance of his duties which the Company may assign to himhereunder.

The Executive shall serve as the Executive Vice President and Chief Financial Officer of the Company and shall have such duties, authority and responsibilities as are normally associated with responsibilities and authority as may from appropriate for such position. Executive shall devote substantially all of his working time and efforts to time be assigned by the Chief Executive Officer and/or the Board of Directors business and affairs of the Company. , except that Executive agrees to may perform faithfully and industriously the duties personal or charitable activities which the Company may assign to himdo not interfere with Executive's employment duties.

Position and Duties. The Executive shall serve as the Executive Vice ------------------- President of the Company with responsibilities and authority Chief Financial and Operating Officer and shall have such power and duties as may be from time to time be assigned prescribed by the Chief Executive Officer and/or President of the Bank and the Board of Directors Directors, provided that such duties are consistent with the Executive's position as Chief Financial and Operating Officer as contemplated by the Executive's position description, which may change from time to time at the discretion of the Company.
