Position and Term. Upon execution of this Employment Agreement and in accordance with the terms herein, the Company hereby employs Employee to serve as a CEO, and Employee accepts such position. Employee understands and acknowledges that employment with the Company is for an unspecified duration and constitutes "at-will" employment. Employee also understands that any statement or representation to the contrary is unauthorized and not valid unless obtained in writing and signed by an officer of the Company. Employee acknowledges that employment relationships with the Company may be terminated at any time, with or without good cause or for any or no cause, at the option either of the Company or Employee, with or without notice. Employee further agrees that any employee handbooks or policies shall not be construed to create binding contractual commitments on behalf of Company.
Position and Term. The Employer hereby employs the Executive as Chief Executive Officer, reporting directly to the Board, and the Executive hereby accepts said employment and agrees to render such services to the Employer, on the terms and conditions set forth in this Agreement. Unless extended as provided in this Section 2.1, or terminated in accordance with Section 5, this Agreement shall terminate five (5) years after the date first above-written; provided, however, that, while this Agreement is in effect, beginning one year following the date first above-written and continuing on each one year anniversary of the Agreement (the "Annual Renewal Date"), this Agreement shall be automatically extended for an additional one (1) year, unless the parties have re-negotiated the Agreement or one of the parties gives written notice of non-renewal in accordance with Section 8.2 hereof to the other party at least thirty (30) days prior to an Annual Renewal Date, in which event this Agreement shall continue in effect for the remaining term of the Agreement. Reference herein to the "Term" of this Agreement shall refer both to the initial term and any successive term, as the context requires. The parties expressly agree that designation of a term and renewal provisions in this Agreement does not in any way limit the right of the parties to terminate this Agreement at any time as hereinafter provided.

The Company hereby employs Executive as Vice President of Program Management, reporting directly to the Company’s Chief Executive Officer, and Executive hereby accepts said employment and agrees to render such services to the Company on the terms and conditions set forth in this Agreement. Unless terminated in accordance with Section 5 below, this Agreement shall terminate five (5) years from the Effective Date of this Agreement (the “Initial Term”); provided, however, that, while this Agreement is in effect, beginning one (1) year following the Effective Date and continuing on each one-year anniversary of the Agreement (the “Annual Renewal Date”), this Agreement shall be automatically extended for an additional one (1) year (“Renewal Term”), unless one of the Parties gives the other Party written notice of non-renewal (in accordance with Section 6.2 below) at least thirty (30) days before the impending Annual Renewal Date (in which event this Agreement shall continue in effect for the remainder of the then current Term). Reference herein to “Term” shall refer both to the Initial Term and any successive Renewal Term, as the context requires.
Position and Term. A) ITM hereby employs Executive for three (3) years from the Effective Date (the "TERM") as Chief Executive Officer to provide executive services in connection with the development of its Baby Genius business and perform such other duties consistent with Executive's office as may be directed by the Board of Directors.
Position and Term. 1.1 The Employer will employ the Employee in the position of Chief of Staff (the “Position”). The Employee will perform the duties of the position on a full-time basis.
1.2 The Employee will report to the Chief of Staff, Office of the Premier (“Chief of Staff”) for Ministry assignments. The Chief of Staff may change the assignment to a different Ministry during the Term of the Agreement, in the sole discretion of the Chief of Staff.
1.3 The Employee’s employment will start on August 6, 2019 and will continue until the end of the day on May 31, 2023 (the “Term”), unless terminated earlier in accordance with this Agreement. This Agreement is for a fixed term and it will not be combined with any prior employment agreements between the Employer and the Employee to create a contract of indefinite duration.
1.4 As a condition precedent to this Agreement, the Employee agrees to undertake a security clearance in accordance with the requirements of the Employer.
1.5 The Employee consents to the disclosure and release of personal information by the Employer for the purpose of conducting a security clearance to determine the Employee’s suitability for employment. If additional consent is required, the Employee will provide the necessary consent to release personal information to the Employer, when requested, to enable disclosure to third parties the Employer deems necessary to assist in obtaining the security clearance.
1.6 If the Employer, in its sole discretion, finds the security screening to be unsatisfactory, this Agreement is void.
Position and Term. The Company agrees to continue to employ the Executive and the Executive agrees to serve the Company as Chief Financial Officer of the Company. The term of this Agreement and employment is indefinite, but the employment and this Agreement may be terminated by either party as provided herein.

1.2 The Employee will report to the Chair of the Tribunal (the “Chair”).

1.4 Employment will start on July 1, 2021 and will continue until the end of the day on June 30, 2023 (the “Term”) unless terminated earlier in accordance with this Agreement. This Agreement is for a fixed term and will not be combined with any prior employment agreements between the Employer and the Employee to create a contract of indefinite duration.

b) The term of this contract shall begin on November 1 ,1995, and end on August 31, 1997. The contract will be automatically renewed on the anniversary date for an additional period of two years unless the contract has terminated pursuant to the provisions under Paragraph 5. This contract supersedes any and all contracts that may have previously been negotiated between the Employer and Employee, either written oral. 2. Employee Duties ---------------
a) The duties and responsibilities of the Employee shall be those established by the Employer. The duties shall include but not be limited to the following: i) Perform any duties as assigned by Chief Executive Officer or his designated representative.
ii) Provide executive management of the assigned business function.

iv) Perform duties as CEO's designated representative where required and assigned.
Position and Term. The Company hereby employs Executive to render services to the Company in the position of Executive Vice President, Sales, Marketing & Digital, reporting directly to the President & Chief Operating Officer of the Company or his designee. The Company’s employment of Executive hereunder is contingent upon Executive successfully completing a background investigation. The duties of this position shall include such duties and responsibilities as are reasonably assigned to Executive by the President & Chief Operating Officer, including, but not limited to, those customarily performed by Executive Vice Presidents, Sales, Marketing and or Digital, of public corporations in the same or similar industries, managing business risk and protecting Company assets, as well as any other such duties and responsibilities as are customarily performed by persons holding similar positions at similarly situated corporations. Executive agrees to serve in a similar capacity for the benefit of Everi Holdings and any of Everi Holdings’ direct or indirect, wholly-owned or partially-owned subsidiaries or Everi Holdings’ affiliates. Additionally, Executive shall serve in such other capacity or capacities as the Chief Operating Officer may from time to time reasonably and lawfully prescribe. Executive shall be deemed an “Executive Officer” for purposes of indemnification by the Company pursuant to Article XI of the Company’s bylaws.
Position and Term. The Appointee’s position as the Animal Control Officer for the Village is by and subject to appointment by the Village Board on an annual basis. The Appointee shall be an employee of the Village and the salary provided hereunder shall be subject to all federal and state employment tax withholding requirements. The initial term of this Agreement shall commence and be effective as of January 1, 2018 and continue for a term of twelve (12) months thereafter, expiring on December 31, 2018. This Agreement shall not automatically renew at the end of the term hereof, but shall be subject to review by the Village Board and annual appointment by the Village Board.
