Common use of Positions and Duties Clause in Contracts

Positions and Duties. As of the Effective Date, Executive is serving as General Manager and Senior Vice President, Commercial Business Unit of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Chief Executive Officer and/or Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive is serving will serve as General Manager Chief Executive Officer and Senior Vice President, Commercial Business Unit President of the Company. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him Executive by the Company's Chief Executive Officer and/or ’s Board of Directors (the "Board")Directors, to whom Executive will report. The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive is serving will serve as General Manager and Senior Vice President, Commercial Business Unit of the Company’s General Counsel and Chief Compliance Officer. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him by the Company's ’s Chief Executive Officer and/or Board of Directors (the "Board")Officer. The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive is serving will serve as General Manager President and Senior Vice President, Commercial Business Unit of the CompanyChief Executive Officer. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position as the most senior executive officer within the Company, as shall will reasonably be assigned to him by the Company's Chief Executive Officer and/or Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive is serving will serve as General Manager President and Senior Vice President, Commercial Business Unit Chief Executive Officer of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him by the Company's ’s Chief Executive Officer and/or Board of Directors (the "Board"“CEO”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive is serving will serve as General Manager and Senior Vice President, Commercial Business Unit GENERAL COUNSEL of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Chief Executive Financial Officer and/or Board of Directors (the "BoardBOARD"). The period of Executive's employment under this Agreement is referred to herein as the "Employment TermEMPLOYMENT TERM."

Positions and Duties. As of the Effective Date, Executive is serving as General Manager and Senior Vice President, Commercial Business Unit Legal and Corporate Development of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him by the Company's ’s Chief Executive Officer and/or Board of Directors (the "“Board"”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive is serving will serve as General Manager and Senior Vice President, Commercial Business Unit VICE PRESIDENT OF ENGINEERING of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Chief Executive Officer and/or Board of Directors (the "BoardBOARD"). The period of Executive's employment under this Agreement is referred to herein as the "Employment TermEMPLOYMENT TERM."

As of the Effective Date, Executive is serving will serve as General Manager President and Senior Vice President, Commercial Business Unit Chief Operating Officer of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him by the Company's ’s Chief Executive Officer and/or Board of Directors (the "Board"“CEO”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

As of the Effective Date, Executive is serving will serve as General Manager and Senior Executive Vice President, Commercial President of Business Unit Development of the Company reporting directly to the Company’s Chief Executive Officer (the “CEO”). Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him by the Company's Chief Executive Officer and/or ’s Board of Directors (the "“Board"”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive is serving will serve as General Manager and Senior Vice President, Commercial Business Unit Regulatory Affairs and Quality Assurance of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him by the Company's Chief Executive Officer and/or Board of Directors (the "’s Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive is serving will serve as Vice President and General Manager and Senior Vice President(“VP/GM”), Commercial Business Unit Newborn Care of the Company. Executive will render such business and professional services in the performance of his her duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him her by the Company's ’s Chief Executive Officer and/or Board of Directors (the "Board"“CEO”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

As of the Effective DateDate (as defined below), Executive is serving will serve as General Manager and Senior Vice President, Commercial Business Unit Chief Executive Officer and Treasurer of the Company. Executive will render such business and professional services in the performance of his her duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him her by the Company's Chief Executive Officer and/or Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. Executive will serve as the President and Chief Executive Officer of the Company (the “Position”). As of the Effective Date, Executive is serving as General Manager and Senior Vice President, Commercial Business Unit of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him by the Company's Chief Executive Officer and/or ’s Board of Directors (the "“Board"”), to which he shall report. Executive will render such business and professional services in the performance of his duties, consistent duties as are customarily associated with Executive's ’s position within the Company, Company and Executive agrees to perform such other duties and functions as shall from time to time be reasonably be assigned or delegated to him Executive by the Company's Chief Executive Officer and/or ’s Board of Directors (the "“Board"”). Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Chief Executive Officer and/or Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive is serving will serve as General Manager and Senior Vice President, the Chief Commercial Business Unit Officer of the Company, reporting to the Company’s President and Chief Executive Officer (“CEO”). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Executive will report to the Company's Chief Executive Officer (the "CEO"). As of the Effective Date, Executive is serving as General Manager and Senior Vice President, Commercial Business Unit of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall will reasonably be assigned to him by the Company's Chief Executive Officer and/or Board of Directors (the "Board")CEO. The period of Executive's employment Executive is employed by the Company under this Agreement is referred to herein as the "Employment Term."

As Executive will be employed by the Company in the position of the Effective Date, Executive is serving as General Manager and Senior Vice President, Commercial Business Unit of President reporting to the Company. The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive is serving as General Manager and Senior Vice President, Commercial Retail Business Unit of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him by the Company's ’s Chief Executive Officer and/or Board of Directors (the "“Board"”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive is serving will serve as General Manager President and Senior Vice President, Commercial Business Unit of the CompanyChief Executive Officer. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him Executive by the Company's ’s Chief Executive Officer and/or Board of Directors (the "Board"“CEO”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."” The Employment Term commenced on July 5, 2017, Executive’s actual start date of employment (the “Start Date”).

Positions and Duties. As of the Effective Date, Executive is serving will serve as General Manager and Senior Vice President, Commercial Business Unit Chief Operating Officer of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him by the Company's ’s President and Chief Executive Officer and/or Board Officer. Such duties will include, but may not be limited to, management of Directors (the "Board")Company’s sales, channels, services, marketing and product management departments. The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive is serving will serve as General Manager Executive Vice President and Senior Vice President, Commercial Business Unit Chief Financial Officer of the CompanyCompany reporting to the Chief Executive Officer. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Chief Executive Officer and/or Board of Directors (the "Board").
