Post-Closing PubCo Board Clause Samples

Post-Closing PubCo Board. Prior to the Effective Time, PubCo shall take all actions necessary to cause, in each case, effective as of the Effective Time (a) the PubCo Board to be composed of seven (7) directors and (b) the initial directors of the PubCo Board to consist of (i) one (1) independent director as reasonably determined by Sponsor, (ii) the Chief Executive Officer of Hunch and (iii) five (5) independent directors as reasonably determined by ▇▇▇▇▇, until their successors have been duly elected or appointed and qualified or until their earlier death, resignation or removal in accordance with the Governing Documents of PubCo.
