Common use of Post-Termination Arrangements Clause in Contracts

Post-Termination Arrangements. Except in the case of termination as a result of either Party's Default under Section 2.3 below, or a termination upon sale, pursuant to Section 2.4, for service arrangements made available under this Agreement and existing at the time of termination, those arrangements may continue: (a) As if under this Agreement, if either Party has requested negotiations for a new agreement pursuant to Sections 251 and 252 of the Act, (i) until this Agreement has been replaced by a new agreement, or (ii) for up to one hundred eighty (180) calendar days following the Termination Date, whichever is earlier. (b) If this Agreement is not continued pursuant to subsection (a), the Parties shall continue operations without interruption under (i) a new agreement voluntarily executed by the Parties; (ii) standard terms and conditions approved and made generally effective by the Commission, if any; (iii) tariff terms and conditions made generally available to all Local Providers (iv) any rights under Section 252(i) of the Act. If none of the above is available, the Parties shall continue under this Agreement until a new agreement is in place.

Except in the case of termination as a result of either a Party's Default under Section 2.3 2.2 below, or a termination upon sale, pursuant to Section 2.4, for service arrangements made available services and elements purchased under this Agreement and existing at the time of termination, those arrangements may continue: (a) 2.1.1 As if under this Agreement, if either Party has requested negotiations for negotiation of a new agreement pursuant to Sections 251 and 252 of the Act and the Parties are negotiating a successor agreement pursuant to Section 251 and 252 of the Act, (i) until this Agreement has been replaced by a new agreement, or (ii) for up to one hundred eighty (180) calendar days six months following the Termination Date, whichever is earlier. However, the Agreement shall be extended on a month-to-month basis as long as the Parties are participating in mediation and or arbitration filed pursuant to Section 251 and 252 of the Act, or as mutually agreed to by the Parties. (b) 2.1.2 If this Agreement is not continued pursuant to subsection (a2.2.1), the Parties shall continue operations operating, without interruption under interruption, pursuant to (i) a new agreement voluntarily executed by the Parties; (ii) standard terms and conditions approved and made generally effective by the Commission, if any; (iii) tariff terms and conditions made generally available to all Local Providers Providers; and / or (iv) any rights rates, terms and conditions available under the Act, including, without limitation, Section 252(i) of the Act. If none of the above is available, the Parties shall continue under this Agreement until a new agreement is in place).

(b) 2.2.2 If this Agreement is not continued pursuant to subsection (a2.2.1), the Parties shall continue operations operating, without interruption under interruption, pursuant to (i) a new agreement agreemtn voluntarily executed by the Parties; (ii) standard terms and conditions approved and made generally effective effecdtive by the Commission, if any; (iii) tariff terms and conditions made generally available to all Local Providers Providers; and / or (iv) any rights rates, terms and conditions available under the Act, including, without limitation, Section 252(i) of the Act). If none of the above is are available, the Parties shall continue under this Agreement until a new agreement is in placebecomes effective.
