Common use of Power of Attorney Acknowledgment Clause in Contracts

Power of Attorney Acknowledgment. Each Subordinated Creditor and each Loan Party hereby irrevocably authorizes and appoints Borrower as such Person’s attorney-in-fact, with full authority in the place and stead of such Person, and in the name of such Person, and Borrower is hereby authorized by such Person from time to time in Borrower’s discretion, to (i) take any action and to execute any instrument that Borrower may deem reasonably necessary or advisable to accomplish the purposes of this Agreement, and (ii) receive or give all representations, notices and communications to and from the Administrative Agent, with such representations, notices and communications effective and binding on each such Subordinated Creditor and Loan Party, where such notice or communication is in writing and sent to Borrower in accordance with Section 15.
