Common use of Power of Managing Members Clause in Contracts

Power of Managing Members. (a) The Managing Members shall have the power to exercise any and all rights or powers granted to the Members pursuant to the terms of this Agreement. In addition to the foregoing, the Managing Members shall have the power to exercise any and all other rights or powers of the Company and do all lawful acts and things as are not directed or required to be exercised or done by the Company under the Delaware Act or this Agreement. (b) With respect to the internal management of the Company, without limiting the authority of the Managing Members, in their capacities as such, to act for and bind the Company, the Managing Members shall act through their designees (collectively, the "Representatives") on the Members Committee, who may be replaced at any time by the Managing Member that appointed such Representative (with or without cause), subject to * CONFIDENTIAL TREATMENT REQUESTED
