POWERS AND DUTIES OF THE BOARD OF TRUSTEES. The BOARD shall have the following powers and duties to:
(1) Annually elect a chairman and vice-chairman. Each officer shall serve until his or her successor is elected, subject to maintaining status as an eligible elected official.
(2) Admit or expel MEMBERS, or to condition continued participation in the PROGRAM, in accordance with this Agreement.
(3) Establish procedures for determining contribution amounts and authorizing payment procedures for MEMBERS.
(4) Establish the insurance and risk management program design.
(5) Provide for selection of all personnel and contractors necessary for the administration of ICRMP, including the appointment of an Executive Director to supervise the business of the PROGRAM and carry out other functions delegated by the BOARD.

(8) Prepare, adopt and oversee ICRMP’s budget.
(9) Receive reports concerning PROGRAM activities and to make reports to the MEMBERS.

(11) Provide for the investment and disbursement of funds.
(12) Enact resolutions establishing procedures governing its own conduct and the powers and duties of its officers, not inconsistent with this Agreement and applicable provisions of law.
(13) Provide to MEMBERS an annual report of operations and financial affairs.
(14) Form committees and advisory panels; and to provide other services as needed by ICRMP. The BOARD shall determine the method of appointment and terms of members of committees and advisory panels.
(15) Submit to MEMBERS an amended JPA upon adoption and at the date of periodic renewal, or otherwise, for re-adoption, express acceptance or payment of a member contribution by MEMBERS.
(16) Dissolve ICRMP when BOARD action is accompanied by a two-thirds (2/3) vote of the entire then-current MEMBERSHIP, provided that a notice of intent to dissolve ICRMP shall be given to the Director of the Department of Insurance of the State of Idaho at least ninety (90) days prior to the proposed effective date. Like notice of such intent shall be provided to all MEMBERS at least thirty (30) days before any such vote regarding dissolution in compliance with title 41, Idaho Code and other applicable statutes. POWERS AND DUTIES OF THE BOARD OF TRUSTEES. The board shall have the following powers and duties:
(1) To admit new members in accordance with Article VI.
(2) To cancel coverage of eligible insureds for nonpayment of premium, deductibles and/or noncompliance with policy conditions and agreements.
(3) To expel members for noncompliance with this agreement or with the provisions of the manuscripted policy.
(4) To set underwriting criteria and establish contributions by the members and premiums for eligible insureds.
(5) To establish the types of losses to be covered, limits of liability on insurance policies, and the types of deductibles which MACo PCT provides.
(6) To provide for personnel necessary for the MACo PCT administration.
(7) To set the dates, places and provide an agenda for board and members’ meetings.
(8) To exercise all powers of MACo PCT except powers reserved to the members.
(9) To prepare, adopt and report MACo PCT’s budget to the members.
(10) To make reports to the members at their meetings.
(11) To adopt, and to amend from time to time, the insurance policy manuscript governing insurance coverage under the pool.
(12) To provide for claims administration, settlement, and loss control procedures.
(13) To provide for the investment and disbursement of funds.
(14) To establish procedures governing its own conduct and the powers and duties of its officers not inconsistent with this agreement.
(15) To provide to members annually:
(a) An audit of the financial affairs of MACo PCT to be made by a certified public accountant at the end of each fiscal year in accordance with generally accepted auditing principles and state law; and
(b) An annual report of operations.
(16) To form committees and provide other services as needed by MACo PCT. The board shall determine the method of appointment and terms of committee members.
(17) To do all acts necessary and proper for the operation of MACo PCT and implementation of this agreement subject to the limits of this agreement and not in conflict with this agreement.
(18) Dissolve MACo PCT and disburse its assets by a 2/3 vote of the entire membership.
POWERS AND DUTIES OF THE BOARD OF TRUSTEES. The Board of Trustees will have the powers and duties of the general administration of this Plan, including the following: • To administer the Plan in accordance with its terms; • To determine all questions of eligibility, status, and coverage under the Plan; • To interpret the Plan, including the authority to construe possible ambiguities, inconsistencies, omissions, and disputed terms; • To make factual findings; • To decide disputes which may arise relative to a participant’s rights and/or availability of benefits; • To prescribe procedures for filing a claim for benefits, to review claim denials and appeals relating to them and to uphold or reverse such denials; • To keep and maintain the plan documents and all other records pertaining to the Plan; • To appoint and supervise claims administrators to pay claims; • To perform all necessary reporting as required by ▇▇▇▇▇; • To establish and communicate procedures to determine whether a medical child support order is a QMCSO; • To delegate to any person or entity such powers, duties, and responsibilities it deems appropriate; • To establish one or more committees to assist in administration of the Plan; and • To perform each and every function necessary for or related to the Plan’s administration.
POWERS AND DUTIES OF THE BOARD OF TRUSTEES. A. The Board of Trustees shall accept gifts only in accordance with and subject to the terms and conditions set forth in this Trust Agreement.
B. All gifts made to the Foundation for charitable purposes may be held and dealt with as a single fund, and the Board of Trustees shall not be under any obligation to retain any gift as a separate investment or in such manner that it shall be identified as a separate gift unless so directed by the terms of the gift, and in such case the Foundation shall be the legal and equitable owner thereof and shall exercise ultimate and direct authority and control over the funds provided by the gift. Directions for naming a fund as a memorial or otherwise may be satisfied by keeping under such name accounts reflecting appropriately the interest of such fund in each common investment or in the funds of the Foundation.
C. In administering the property of the Trust, unless a donor shall have provided otherwise, the Board of Trustees, in addition to any power and authority conferred by law, shall have the following powers:
1. To invest and reinvest the corpus and income of the Foundation in any type of real or personal property, including, among other things, securities, common trust funds, and any other property, whether or not eligible for trust investment under the laws of the State of Wisconsin, and to appoint money managers, including trust companies to actively manage some or all of the assets of the Foundation.
2. To retain gifts in the form and condition in which they may be made, notwithstanding such gifts which may not be a lawful investment for trusts under the laws of the State of Wisconsin.
3. To sell, lease for any period, convey, transfer, exchange, deliver and dispose of all or any part of the funds of the Foundation and make contracts concerning any such funds, all at such prices and upon such terms and conditions as it shall deem expedient and proper; and to purchase, sell or write covered call options.
4. To consent to the extension, refunding or renewal of obligations or security therefor, and to the extension or renewal of any mortgage or lien securing the same.
5. To make, execute and deliver all proper receipts, bills of sale, conveyances, assignments, transfers, proxies, powers of attorney and agreements as it shall deem best in the management and control of the securities and property of the Foundation.
