Pre-Merger Certificates Clause Samples

The Pre-Merger Certificates clause requires the parties involved in a merger to provide formal certifications or statements confirming certain facts or compliance with specific conditions before the merger is finalized. Typically, these certificates may confirm that all representations and warranties remain true, that required consents have been obtained, or that no material adverse changes have occurred since signing. This clause ensures that both parties have up-to-date assurances about each other's status and obligations, reducing the risk of last-minute surprises and facilitating a smoother closing process.
