Predecessor Note Clause Samples
The Predecessor Note clause identifies and references any prior promissory notes or debt instruments that the current agreement is intended to replace, amend, or supersede. In practice, this clause specifies the details of the earlier note, such as its date, principal amount, and parties involved, ensuring a clear link between the old and new obligations. Its core function is to provide continuity and clarity in the parties' financial arrangements, preventing confusion or disputes about which terms govern the outstanding debt.
Predecessor Note. The term "Predecessor Note" of any particular Note shall mean every previous Note evidencing all or a portion of the same debt as that evidenced by such particular Note; and, for the purposes of this definition, any Note authenticated and delivered under Section 2.6 in lieu of a lost, destroyed or stolen Note shall be deemed to evidence the same debt as the lost, destroyed or stolen Note that it replaces.
